Our client, a major international listed business, is seeking an experienced Assistant Company Secretary to join its established governance function. Reporting into senior governance leadership, this role will play a key part in supporting the annual governance cycle, with responsibility spanning Board and Committee support, share plans, and regulatory compliance.
Key Responsibilities
* Manage the end‑to‑end administration of global employee share plans, ensuring regulatory compliance
* Act as Secretary to designated Board Committees, coordinating meetings, preparing papers, and taking minutes
* Support the production of Annual Report & Accounts and governance disclosures
* Assist with AGM planning and delivery, including shareholder communications and voting processes
* Ensure compliance with relevant listing rules and governance regulations
* Support Board and Committee processes using governance platforms and digital systems
* Identify opportunities to improve governance efficiency through process and technology enhancements
Candidate Profile
* Previous experience in an Assistant Company Secretary / Company Secretarial role
* Strong knowledge of corporate governance and regulatory compliance requirements
* Experience managing share plans administration preferred
* Confident working with senior stakeholders, including Board‑level executives
* Highly organised, detail‑focused, and able to manage multiple priorities effectively
* Collaborative, proactive, and solutions‑driven approach
