Part-Time In-house Contract Lawyer
Overview
CommonAI Compute is seeking an in-house Contract Lawyer to join software startup CommonAI. The successful candidate will play a critical role in managing and processing a variety of legal documents, with a focus on technology, commercial, and intellectual property agreements. This role requires a law degree, excellent drafting and review skills, and the ability to maintain confidentiality and professionalism.
This is a part time position with flexible working hours. You may be requested to vary your working hours depending on company requirements, but we expect the candidate to be able to fit the work around other commitments.
We would prefer someone who can work on-site in our Cambridge office, but would consider candidates who would need to work remotely.
Key Responsibilities
The Contract Lawyer will be responsible for, but not limited to, the following tasks:
Contract Preparation and Review
* Prepare, review, and finalise drafts of various legal documents and agreements, including:
* Technology Contracts (e.g., licensing, development, procurement)
* Service Level Agreements (e.g., vendor, consulting, professional services)
* End User License Agreements (EULAs) and Terms of Service
* Non-Disclosure Agreements (NDAs) and Confidentiality Agreements
* Employment contracts and benefit agreements
* Ensure all contractual documents adhere to internal standards, legal requirements, and regulatory compliance.
* Track and manage the contract lifecycle from initial request through execution and filing.
* Coordinate with internal and external stakeholders to gather necessary information and approvals for contract documentation.
Legal Research and Administration
* Organise and maintain the company's legal document management system (Docusign), ensuring all files (physical and electronic) are accurate and easily accessible.
* Assist in preparing materials for litigation, compliance filings, and internal audits.
* Handle confidential information with the utmost discretion and professionalism.
QualificationsEducation and Experience
* Required: Law degree from an accredited institution.
* Prior experience (2+ years) working within a corporate legal department or law firm, preferably with exposure to technology and commercial law.
Skills and Competencies
* Contractual Expertise: Demonstrated experience in drafting, reviewing, and interpreting the types of agreements listed above (Technology Contracts, Service Agreements, EULAs, NDAs).
* Legal Acumen: Strong foundational knowledge of contract law, intellectual property law, and corporate governance principles.
* Organisational Skills: Excellent time management and ability to prioritise tasks
* Communication: Exceptional written and verbal communication skills, capable of interacting professionally with all levels of the organisation and external parties.
* Technology Proficiency: Proficient in Microsoft Office Suite (Word, Excel, PowerPoint) and experienced with legal document management systems and contract lifecycle management (CLM) software.
* Team Player: Excellent communication skills and the ability to work in a small team are crucial to this position.
