Overview
A growing and dynamic Energy & Infrastructure team is looking for an ambitious M&A Lawyer to join their London team, advising on complex, high-value domestic and cross-border transactions across the energy and infrastructure sectors.
The role focuses on M&A and investment work involving energy and infrastructure platforms and assets, including renewables, energy transition, utilities, transport, and core infrastructure. The successful candidate will work closely with sponsors, strategic investors, developers, and asset managers on some of the most significant transactions in the sector.
Key Responsibilities
* Advising on mergers, acquisitions, disposals, and investments involving energy and infrastructure businesses, projects, and portfolios
* Leading and supporting buy-side and sell-side M&A transactions, including platform acquisitions and exits
* Drafting, negotiating, and advising on share purchase agreements, asset purchase agreements, investment agreements, and joint venture arrangements
* Advising on consortium and co-investment structures, including shareholder and governance arrangements
* Managing and coordinating legal due diligence on complex energy and infrastructure assets, working alongside specialist regulatory, projects, finance, and tax teams
* Advising clients on structuring considerations for acquisitions and investments across the energy and infrastructure lifecycle
* Supporting clients on strategic transactions relating to energy transition and decarbonisation initiatives
* Playing an active role in client relationship management and business development activities
Candidate Requirements
* Qualified solicitor in England & Wales (or equivalent common law jurisdiction)
* 1–4 years’ PQE (flexible depending on experience and seniority)
* Strong M&A background with significant experience in the energy and/or infrastructure sectors
* Proven experience advising on complex, high-value, and often cross-border transactions
* Familiarity with sponsor-led and consortium transactions is highly desirable
* Experience working with infrastructure funds, private equity, pension funds, or strategic investors is advantageous
