Interim Legal Counsel (12 months), Crawley
We are seeking an experienced Interim Legal Counsel to join our team in Crawley for a 12-month period. The successful candidate will be responsible for providing legal support related to mergers and acquisitions (M&A) transactions across multiple jurisdictions including Europe, Latin America, and Asia.
Responsibilities
1. Review and summarize legal due diligence reports, identifying risks and advising the business accordingly.
2. Conduct due diligence and prepare summaries, including risk identification, for transactions without external advisers.
3. Draft and negotiate transaction documents for smaller deals independently.
4. Instruct external counsel regarding transaction documents such as APA/SPA, ensuring alignment with RI’s position.
5. Negotiate transaction documents in collaboration with the M&A team.
6. Work closely with and provide guidance to Legal Counsel and M&A team members.
7. Provide updates and flag issues related to transactions to the General Counsel - Corporate.
8. Offer strategic and structuring advice on transactions as needed.
9. Coordinate with external counsel as necessary.
10. Ensure compliance with the M&A process across regions.
11. Advise on potential claims post-completion.
12. Review and approve IC requests, facility agreements, guarantees, PoAs, and other corporate governance documents as required.
Requirements
* Experience in M&A, including due diligence and SPA negotiations.
* Minimum of three years of post-qualification experience (PQE).
