Your Team
You’ll be joining Vantage’s growing Corporate Governance & Entity Management function in EMEA which is a close-knit, collaborative team within the wider Legal department. This is an evolving area of the business, where we are intentionally building stronger governance capability across our EMEA portfolio. The team is led by the Senior Manager for Corporate Governance & Entity Management, with day-to-day guidance provided by experienced legal professionals who bring deep cross-jurisdictional knowledge and a highly detail-driven approach.
You’ll work alongside team members who value curiosity, problem-solving and a willingness to shape new processes rather than simply follow existing ones. As we expand into new jurisdictions and refine our governance framework, you will be encouraged to contribute your ideas, build new ways of working, and help drive continuous improvement. Essential Job Functions
* Reporting into the Senior Manager, Corporate Governance and Entity Management and supporting in relation to all corporate governance matters across EMEA inclusive of complex, cross jurisdictional legal entity maintenance.
* Be a key part of the CoSec team delivering high-quality legal services and risk management, ensuring group-wide corporate governance requirements are embedded in everything we do.
* Provide administrative support to the CoSec Team, invoicing, contract administration, document management, filing and tracking.
Key Skills & Experience
* Professional qualifications: ICSA/CGI (Chartered Governance Institute) qualification or equivalent legal/company secretarial background desirable but not essential if requisite experience in company secretarial and corporate governance matters can be demonstrated.
* Experience: 5–8 years in company secretarial or corporate governance roles, ideally in an international environment with multi-jurisdictional exposure.
* Knowledge: Strong understanding of corporate governance frameworks, entity management, and regulatory requirements across EMEA.
* Excellent drafting and communication skills in English (knowledge of German or French a bonus, but not essential).
* Self‑driven, pro‑active attitude and ability to work independently with a strong eye for detail.
CoSec Duties
* Maintain all governance documents and statutory records for all EMEA entities, including registers of directors, officers, shareholders, POAs and delegation of authority documents etc.
* With support of external counsel and service providers, manage lifecycle of EMEA legal entities (incorporations, liquidations) across jurisdictions (Luxembourg, UK/Jersey, Germany, Ireland, Switzerland, Poland, South Africa).
* Assist with managing and complying with statutory filing obligations such as annual returns, board resolutions, shareholder resolutions, and other statutory filing requirements across jurisdictions.
* Assist with implementation and management of investor governance, duties, requirements as these relate to group entity governance and management.
* Assist with coordinating, scheduling and managing quarterly, semi‑annual and annual board and shareholder meetings, including preparation of agendas, gathering documents, creating board packs, drafting, and reviewing minutes, and action tracking.
* Assist in preparing board resolutions, minutes, shareholder resolutions, investor consents and approvals.
* Partner with cross-functional teams (Legal, Compliance, Finance, HR, Tax) to ensure alignment of governance practices and proper documentation of intercompany transactions.
Legal / CoSec Team Admin Duties
* Confirm all agreements are duly executed and maintain a virtual filing system (including Power of Attorneys, Guarantees, or NDAs).
* Onboarding of or with new service providers and 3rd parties.
* Managing relationships with CoSec providers, law firms, notaries etc, including processing invoices on LegalTracker and Yardi.
* Oversee the entity management systems/databases to ensure accurate and up-to-date records.
* Support and assist with all other tasks as required by the Legal Team.
