We are seeking a Legal Counsel/Contracts Manager, who will report to the Head of Legal, based in Alderley Edge, Cheshire. The legal team at NECSWS ensures the integrity and maximizes the potential of commercial contracts for services and solutions supplied to and by the company and its group.
The core functions include: bid management, new customer contracts, governance and compliance, supplier and third-party agreements, risk assessment and mitigation, post-signature contract and dispute management, and legal training and awareness.

The role includes:
* Leading negotiations on various commercial contracts with customers and suppliers, including software licensing, cloud hosting & SaaS contracts, supply agreements, outsourcing, and consultancy arrangements.
* Reviewing and responding to bids, assessing legal and commercial risks, and proposing mitigation strategies.
* Advising on and analyzing risks related to existing and new contracts.
* Drafting and negotiating contracts, including variations.
* Managing contract documentation.
* Updating legal and operational templates and providing training across business units.
* Handling daily inquiries from the business.
* Assisting with disputes and litigation, liaising with external counsel as needed.
* Providing clear legal advice to all levels of personnel, including senior management.
* Collaborating with sales and project teams to ensure compliance with processes and procedures.
* Supporting and developing junior team members.
Qualifications
Candidates should have a solid understanding of complex commercial contracts, strong commercial acumen, and negotiation skills. Excellent communication skills and confidence in engaging with stakeholders at all levels, including senior management, are essential. The ability to work effectively under pressure, demonstrate influence, initiative, and adaptability are key soft skills.
The applicant will:
* Ideally hold a legal qualification (law degree, SQE, solicitor, or legal executive). Experienced contract/commercial managers will also be considered.
* Have experience negotiating complex commercial contracts, preferably in technology, software, or IPR sectors.
* Ideally have experience with public sector contracts and procurement.
* Demonstrate effective communication and interpersonal skills.
* Prove a successful track record of teamwork.
* Maintain high professional standards.
* Be motivated, eager to learn, and proficient with IT office tools.
