Job Description
The Corporate & Securities Associate will enjoy a highly varied role:
1. Advise clients on initial public offerings (SPAC experience highly desirable), secondary offerings, resales, registered direct offerings and other sales of securities.
2. Draft, review and negotiate registration statements, private placement memorandums, purchase agreements, warrant agreements, convertible notes, registration rights agreements and other related documents.
3. Draft and review comfort letters, circle ups, legal opinions and certificates.
4. Work worth issuers, investment banks, auditors and financial advisers to execute deals.
5. Share ideas and participate in deal structuring meetings.
6. Communicate with the SEC, FINRA and Stock Exchange to obtain required clearances.
7. Draft key compliance documents for NYSE and NASDAQ filings.
8. Prepare and review public disclosures and securities filings: proxy statements, Forms 10-K, 10-Q, 8-K and Section 16 filings.
9. Stay informed of changes in securities laws and regulations impacting clients.
10. Assist in mentoring junior associates as needed.
