Robert Half is delighted to be partnering with a well-established and values-driven organisation to appoint a Company Secretary. This is a pivotal role, offering the opportunity to work closely with the Board and senior leadership team to ensure high standards of governance, compliance, and decision-making.
The Role
As Company Secretary, you will take full ownership of corporate governance and statutory responsibilities. Acting as a trusted advisor to the Board and Committees, you will play a key role in promoting transparency, ethical conduct, and effective oversight across the organisation.
Key Responsibilities
Governance & Board Support
1. Coordinate Board and Committee meetings, including preparation of agendas, papers, and minutes
2. Ensure accurate record-keeping and maintenance of statutory registers
3. Advise senior stakeholders on governance best practice and obligations
4. Support Board and Committee effectiveness, including inductions and ongoing development
Compliance & Regulatory Oversight
5. Ensure adherence to relevant legislation and regulatory requirements
6. Oversee statutory filings and reporting obligations
7. Monitor regulatory developments and implement necessary changes
8. Maintain processes relating to conflicts of interest and ethical standards
Corporate Governance & Risk
9. Develop and maintain governance frameworks, policies, and procedures
10. Support effective decision-making at Board level
11. Facilitate communication between leadership and governance forums
12. Coordinate audit and compliance activities
Stakeholder Engagement
13. Act as a key contact for external advisors and regulatory bodies
14. Support internal awareness of governance and compliance standards
15. Assist with stakeholder communications where required
About You
16. Qualified Company Secretary (e.g., CGI/ICSA) or equivalent professional qualification
17. Significant experience in a Company Secretary or senior governance role within a regulated environment
18. Strong knowledge of corporate governance frameworks and regulatory compliance
19. Excellent communication skills with the ability to influence at Board level
20. Highly organised with strong attention to detail and sound judgement
