The role
We're looking for an experienced Company Secretarial Senior Manager to join our team in our Borehamwood office.
This is a senior, outward-facing role with real influence. You'll manage a growing portfolio of UK entities, act as a trusted adviser on company secretarial matters, and play a key role in developing the department.
You'll be a point of contact for clients, colleagues and Partners, bringing clarity to complex technical matters and ensuring high standards of compliance, governance and service delivery.
Other responsibilities include, but are not limited to:
* Providing advice on company secretarial matters and acting as a key contact for technical queries
* Managing a portfolio of clients and supporting the smooth operation of the department
* Overseeing statutory registers for companies and LLPs, ensuring accuracy and best practice
* Collaborating with the tax team on SEIS and EIS applications
* Managing complex corporate actions and filings, including:
* Capital reductions via solvency statements
* Share capital reorganisations (allotments, subdivisions, consolidations, buybacks, redenomination, new share classes)
* Preparation of capitalisation tables for restructures and investment activity
* Share transfers and Stamp Duty processes
* Voluntary striking off for companies and LLPs
* Supporting amendments to articles of association and Companies House filings
* Preparing dividend documentation and standard statutory forms
* Managing and improving the department's template library
* Ensuring compliance for UK establishments of overseas companies
* Working closely with the Business Support team on onboarding and KYC processes
* Supporting AML compliance and documentation requirements
* Building relationships with stakeholders including regulators, legal advisers and senior client contacts
* Contributing to the growth of the department, including fee generation targets
* Supporting business development through networking, cross-selling and profile-raising activities
* Bringing new ideas, initiatives and technology into the department
What you'll bring

You're organised, proactive, and take ownership of your work. You're comfortable managing your own workload and deadlines, and know how to prioritise effectively.
You communicate clearly and professionally, both in writing and verbally, and are confident dealing directly with clients.
You enjoy working in a collaborative team where knowledge is shared openly and people support one another.
You'll also bring:
* ICSA Fellow (or equivalent senior-level qualification)
* Strong technical expertise in company secretarial practice
* Experience in a similar role within a professional services environment
* A strong understanding of the Companies Act 2006
* Experience with client onboarding, AML and KYC requirements
* Proficiency in Diligent, CCH and other relevant software
* Advanced Microsoft Office skills, including Excel
* Strong attention to detail and a commercial mindset
* The ability to manage your own portfolio and work independently
