Responsibilities
* Provide expert legal advice on governance matters, including board structures, decision-making processes, and regulatory compliance.
* Draft and review governance-related documentation, including terms of reference, policies, and committee charters.
* Support the company secretariat function, including board and committee meetings, minutes, and resolutions.
* Monitor changes in legislation and regulation affecting governance and ensure timely implementation of necessary changes.
* Advise on conflicts of interest, director duties, and corporate reporting obligations.
* Collaborate with internal teams to promote a culture of good governance and ethical conduct.
