Group US Securities Counsel Job Title – Group US Securities Counsel Location – London Permanent About Flutter: Flutter consists of two commercial divisions (FanDuel and International) and our central Flutter Functions; COO, Finance & Legal. The successful candidate will be part of the Group Company Secretariat function and will report to the Group Company Secretary. The Group US Securities Counsel will be responsible for advising the Group in relation to US Securities laws, US disclosures and filings, compliance with Reg FD, general corporate and finance transactions; material commercial contracts; ensuring that Flutter always operates within the law; providing pragmatic and commercial legal advice that protects Flutter’s reputation, brands, customers, and shareholders; and facilitating the achievement of the Flutter Group's objectives and strategy.. What you’ll do Advise the business in relation to compliance with US securities law, regulation and NYSE listing requirements. Lead from a legal perspective in the preparing of our public disclosure documents, including SEC reports such as 10-Ks, 10-Qs, 8-Ks, Proxy Statements, Section 16 filings, and other related documents. Review a variety of our external communications, including press releases, conference and interview preparatory documents, and investor presentations to ensure compliance with Reg FD. Manage all aspects of our equity compensation matters, including our Insider Trading Policy, Rule 10b5-1 plans, and employee and director equity matters such as award grants and Section 16 filings. Provide assistance and input on board materials at both PLC and subsidiary level to ensure compliance with US securities law. Provide legal guidance on corporate governance issues and shareholder rights in the context of US securities law. Manage external legal resources to ensure a comprehensive and cost-efficient legal support to all areas of the Group's business in relation to compliance with US securities law. Anticipate and respond to new US securities laws and regulation, with the ability to digest, summarise and succinctly communicate how new legal developments will affect the business of the Group. How you’ll do it At least 3 years of relevant corporate legal experience in US securities law, US corporate governance, and US equity compensation matters at a law firm; experience in-house at a public company is a plus. Juris Doctorate from an ABA-accredited law school. Active membership in good standing with a US state Bar Association.. Excellent written and verbal communication skills with tremendous attention to detail, strong business judgment, and the ability to proactively manage multiple projects simultaneously in a fast-paced, dynamic environment. A track record of leadership and taking ownership over one’s assignments to deliver timely, practical business solutions to a variety of internal stakeholders. Strong organizational skills and the ability to work independently and collaboratively. A proven ability to develop collaborative relationships with internal partners, excellent interpersonal, communication, analytical, and influencing skills, with a strong emphasis on the ability to articulate complex legal issues in a clear and actionable way. Being a self-starter and having the confidence to work autonomously in a fast-paced environment and to manage a varied workload will be essential.
