Job Description:
A leading insurance company is seeking an Interim Assistant Company Secretary to assist the Head of Legal with company secretarial and corporate governance matters.
Role responsibilities:
1. Organising and maintaining agendas, collecting, organising, and distributing meeting papers, including producing minutes and action points.
2. Handling all company secretarial work, including services to clients, FCA/PRA filings, and other regulatory submissions.
3. Assisting with the development and maintenance of policies and procedures to ensure compliance with legal and regulatory requirements.
Requirements:
1. Qualified Company Secretary/Governance Professional or England & Wales qualified Solicitor.
2. Experience with company secretarial procedures, statutory filings, amendments to articles of association, share capital reorganisations, and share transfers.
3. Proven ability to take minutes and produce accurate records in a complex environment.
4. Experience in reviewing contracts.
