We are partnering with an award-winning fiduciary and fund services provider, that provides wealth structuring, administration, governance and advisory services to an international client base comprising high net worth individuals or families, family offices, fund managers and corporates.
This client has an established presence in the UK and Europe and is currently in expansion-mode. In line with growth, we are now looking for a Head of Legal & Company Secretary to join their corporate governance team and guide the business as it expands.
What will the role involve?
This is a senior leadership role responsible for owning and overseeing the group’s legal, governance, company secretarial and regulatory framework across all its jurisdictions:
* Acting as Head of Legal & Company Secretary to the group holding company and key committees;
* Providing legal oversight on commercial contracts, corporate matters and legal risk;
* Support M&A activity;
* Leading the planning, coordination and delivery of Board and Committee agendas, papers, minutes, actions and follow-ups;
* Leading the group governance and company secretarial function across regulated and unregulated entities;
* Working closely with the CEO, exec. leadership and investors on governance-related matters;
* Acting as a trusted adviser to directors and senior leaders on governance, risk and regulatory matters;
* Leading and overseeing regulatory applications and filings, and internal statutory filings;
* Managing a Corporate Governance team of 3 people.
What technical skill-sets are we looking for?
* Significant experience in a senior legal/governance role within a financial services setting;
* Multi-jurisdictional experience, particularly with offshore jurisdictions;
* Strong technical grasp of company law, corporate governance and regulatory framework;
* UK qualified lawyer (or other relevant jurisdictions such as Jersey, Guernsey, Cayman etc.);
* Company secretarial qualification with ICSA (or equivalent) is not necessary, more of a ‘nice to have’.
What softer skill-sets are we looking for?
* Ability to advise and influence senior stakeholders;
* Excellent drafting and communication skills;
* High level of integrity and discretion.
