Purposeof the job
As CompanySecretarial Assistant you will play a crucial role in ensuring thesmooth operation of The Collinson Group. This will includemaintaining statutory books handling filings with Companies Houseand ensuring compliance with legal requirements. You will alsoassist with Know Your Customer requests the company structure chartpreparation of company annual reports and minuting board andcommittee meetings.
You will be working with theCompany Secretary and Governance Manager supporting our Board(s)and senior managers and liaising with global company secretarialleads. This role provides exposure to all business areas andsensitive commercial discussions. It requires an organised andprocessoriented individual with good attention to detail andexcellent communication skills. This role would suit a pragmaticflexible individual who is interested in building a companysecretarial and governance career in a busy and complexorganisation.
KeyResponsibilities
* Maintainstatutory records including registers of members directors andsecretaries.
* Update and manage statutoryinformation held within company secretarial software(Diligent).
* Maintain Group structure chart andinformation.
* Draft resolutions and lodgerequired forms and annual returns with CompaniesHouse.
* Attend to KYC and due diligenceinformation requests including collaborating with businessdevelopment teams on Requests for Proposals (RFPs) and keyprojects.
* Coordinate Directors Year EndDeclarations maintenance of the Conflicts of Interest registerletters of support and undertaking.
* Coordinatethe approvals and filing of the annual reports and accounts (UKentities).
* Filing of Dormant CompanyAccounts.
* Develop and manage systems thatensure the company complies with our Governance Playbook /Collinson Governance Code.
* Ensure policies arekept up to date and approved by the relevant body/individual.Support policy implementation.
* Managegovernance communications information and resources on ourintranet.
* Organise subsidiary Board andCommittee meetings as required.
* Maintainsubsidiary Board terms of reference board effectiveness anddirector training.
* Prepare agendas and papersfor board and committee meetings take minutes and follow up onaction points.
* Monitor changes in relevantlegislation and the regulatoryenvironment.
* Liaise with global companysecretarial leads.
* Liaise with externaladvisers such as lawyers and auditors as well asclients.
Knowledgeskills and experiencerequired
Essential:
* Knowledgeof the requirements and scope of a company secretarialdepartment.
* Strong organisational andcommunication skills.
* Adept at workingcollaboratively.
Desirable:
* Knowledge and experience usingDiligent Entities.
* Experience of supportingboards and committees including minute writing and agendamanagement.
* Relevant Degree / EquivalentExperience / Part or Fully QualifiedCGI.
