About the Role
Grade Level (for internal use): 12
Join the Corporate Legal Department as a legal executive handling subsidiary governance for nearly 400 entities worldwide. You will report directly to the Associate General Counsel, International Corporate, and collaborate with Treasury, Controllers, and Tax functions.
The Team
The team consists of 5 lawyers, 3 paralegals, and 1 legal administrative assistant. It is part of a global legal group of over 150 professionals and supports legal entities globally from a corporate governance viewpoint.
The Impact
This role contributes to subsidiary governance across the globe and supports Treasury, Controllers, and Tax functions. It plays a key part in the wider global legal team, ensuring compliance and legal support for corporate governance.

Responsibilities
* Liaise with Treasury, Controllers and Tax to provide legal advice and support their goals, including cash repatriation, loans and structuring.
* Prepare and arrange execution of board and shareholder resolutions for UK subsidiaries (dividends, loan notes, share capital changes, annual accounts, etc.) and produce board materials and packs.
* Update and maintain statutory books and compliance for UK subsidiaries, overseeing Companies House filings and record keeping.
* Assist with managing local counsel and corporate service providers overseas, ensuring proper subsidiary management, compliance and governance of all subsidiaries globally.
* Prepare inter‑company agreements and delegations of authority.
* Liaise with notaries, local counsel and corporate service providers overseas to prepare certificates and arrange notarisation, apostille, legalisation or consularisation of documents.
* Assist with maintaining internal record‑keeping systems (experience with Diligent Entities preferred).
* Conduct corporate due diligence and company searches, obtaining certificates of good standing and similar in the UK and worldwide.
What We’re Looking For
Basic Required Qualifications
* At least a 2:1 Bachelor of Law qualification with the Legal Practice Course or Bar Vocational Course or equivalent, and having successfully completed a training contract at a reputable law firm or in‑house at a large company. Minimum 4 years PQE.
* Excellent company law knowledge, especially in corporate transactions, governance and compliance. Company secretarial experience as part of the legal role is important.
* Professionalism and responsiveness, with the ability to communicate effectively with people at all levels of the company.
* Excellent organisational and project management skills needed to manage time well, prioritise effectively and handle multiple deadlines, reacting quickly and adjusting priorities on short notice.
* Ability to operate autonomously while being a team player with a positive, enthusiastic attitude and collaborating with other team members and colleagues.
* Computer skills preferred: Word, Excel, Adobe Acrobat, Outlook, Diligent.
