A role you will love
As a Senior Consultant within the UK EGC team, you will advise and support a diverse portfolio of listed plc clients. You will be a trusted team member, actively supporting companies with governance and compliance, in a fast-paced professional environment.
Key Responsibilities
1. Support delivery of listed plc and IPO client engagements.
2. Advise clients on listed plc requirements, compliance, governance, and transactions.
3. Develop market insights, technical knowledge, and service delivery tools.
4. Mentor and develop junior team members.
5. Attend client and industry events.
6. Stay updated on internal and external influences affecting the EGC business.
7. Train and support junior colleagues in compliance and governance.
8. Support listed company boards and committees, including attendance and advisory roles.
9. Ensure compliance with Listing Rules, DTRs, Regulatory and Company Law, and MAR.
10. Organise and manage shareholder meetings, including notices and documentation.
11. Prepare and file statutory and regulatory filings (Companies House, FCA, NSM).
12. Coordinate regulatory announcements via RIS portals.
13. Advise clients on corporate governance best practices.
14. Draft non-financial sections of reports, ensuring compliance and accuracy.
15. Maintain corporate registers for regulatory, statutory, and governance reporting.
16. Manage insider lists and sensitive information.
17. Coordinate board and committee evaluations.
18. Monitor directors' interests and conflicts.
19. Liaise with third-party advisors (registrar, broker, legal).
What will you bring to the role?
1. At least three years of company secretarial and governance experience, ideally with listed companies.
2. Strong knowledge of company secretarial practices and governance, with a willingness to learn.
3. Experience in professional services is beneficial but not essential.
4. Excellent communication and teamwork skills.
5. Ability to build relationships at all levels.
6. Organisational skills with project management experience.
7. Awareness of legal, regulatory, and governance trends.
8. Attention to detail and ability to meet deadlines.
9. Strong English, numeracy, analytical, and comprehension skills.
10. Resilient, proactive, self-motivated, responsible.
11. Advanced IT skills (Word, PowerPoint, Excel) and legal entity management technology experience.
12. Qualified or pursuing CGI qualification.
