* High external legal fees necessitate ongoing management to control costs.
* Similar legal services are provided for two smaller group businesses.
Activities
Legal
* Advise internal clients on Health and Safety Law, Engineering Construction Law, Commercial Law, Distribution Law, Environmental Law, and Company Law.
* Develop legal and statutory awareness among staff through seminars, newsletters, and personal contact.
* Conduct audits to ensure statutory compliance, including for joint venture companies, and make recommendations for necessary actions.
* Evaluate and advise on environmental liabilities related to land owned or operated by the company.
* Provide advice to Directors and staff, and handle negotiations related to third-party claims.
* Ensure the company receives timely legal advice across all business issues, engaging external counsel and experts as needed, and liaising with group legal teams.
* Manage external legal advisors in disputes or projects.
* Ensure legal compliance with HSE, competition law, and company law.
* Liaise with regulators such as ICO, HSE, and EA.
* Advise the board on statutory obligations and potential liabilities.
* Oversee the filing of statutory accounts for the company and associated entities, ensuring compliance.
* Review, draft, and negotiate commercial contracts related to the business.
* Provide advice on capital investment projects, including engineering contracts for capital projects.
* Interpret legislation affecting the business and implement measures in response to new laws.
Data Privacy Liaison Officer for TEMUK
* Registered Data Protection Officer with the ICO and Data Privacy Liaison Officer.
Company Secretary
* Registered company secretary at Companies House for all UK subsidiaries of MS, responsible for company secretarial services and compliance.
* Approved signatory and liaison with Companies House Compliance Officer, Sanctions Referent, and Ethics Officer.
* Responsible for compliance matters including anti-bribery, corruption, competition law, and conflicts of interest.
Candidate Profile
* 5-10 years post-qualification experience as a lawyer or solicitor authorized to practice in England & Wales.
* Commercial legal expertise, ideally within the Energy or Chemical industry.
* Experience handling environments with significant Health & Safety considerations, such as hazardous product trading.
* Excellent negotiation and influencing skills, capable of communicating effectively at all organizational levels.
* Flexible, proactive, objective, and capable of driving change.
* Confident with strong presentation skills and leadership willingness.
* Excellent problem-solving skills with the ability to remain calm under pressure.
