Your new role
1. Oversee strongernance across the Group’s subsidiary portfolio, acting aspany Secretary for designated entities and maintaining a clear, wellmunicated subsidiaryernance framework
2. Provide strategic advice to senior leaders onernance, regulatory matters andpany law
3. Lead subsidiaryernance activities, including board meetings, drafting proposals and resolutions, minutes and managing statutory and regulatory filings
4. Manage the Group’s corporate structure, including incorporations, strike‑offs and liquidations
5. Support with the annual report process as well as other elements of plcernance reporting
6. Lead end‑to‑end coordination of the AGM process
7. Review Articles of Association and proposed changes to ensure suitability and alignment withernance standards
8. Manage and support a small team
What you'll need to succeed
9. CGI qualification with strong post-qualification experience, ideally in a plc environment
10. Significant experience managing and developing subsidiaryernance frameworks
11. In-depth understanding ofpany Secretarial relevant regulations and corporateernance
12. Previous experience with Blueprint/GEMS
13. Strong stakeholder management experience with an ability to build relationships
