Our client, an international management consultancy, seeks a candidate with some previous experience to join the small company secretarial team to support their activities during a busy period due to additional projects over the next 12 months. The company secretarial team of 5 professionals is part of the wider legal team, based in East Croydon. This full-time interim role offers a hybrid working arrangement, 2 days in the office and 3 days remote.
This role involves supporting the workload of a busy Company Secretariat that advises and supports stakeholders in a large international group of companies. The position requires a company secretarial professional with strong communication skills.
Duties include:
* Handling the document execution process, including incoming contracts, deeds, licences, leases, and sub-consultancy agreements for director approval.
* Filing of executed Board Minutes, Resolutions, Bank Mandates, etc., in Minute Books.
* Filing of executed Powers of Attorney and other legal documents in SharePoint.
* Processing legal documents for notarisation, consularisation, and apostilling.
* Processing purchase orders and invoices.
* Creating Structure Charts.
* Performing ad-hoc secretarial duties such as annual compliance, confirmation statements, drafting board minutes, and shareholder resolutions under supervision.
* Assisting with statutory filings, appointments, and changes to corporate structures of subsidiaries and branches.
* Preparing and updating powers of attorney using standard templates.
* Updating statutory change records in the Diligent Database and SharePoint.
* Providing KYC/DD/AML documentation as requested.
