About the Role: OSTTRA - HEAD OF TAX OSTTRA are a leading provider of post-trade solutions for the global OTC market. In April 2025 the current Shareholders, CME Group and S&P Global, entered into an agreement to sell the Company to KKR for a total enterprise value at $3.1 billion, subject to customary purchase price adjustments pursuant to their 50/50 joint venture. The Head of Tax will have overall responsibility for all Corporate Tax activities across the group including compliance, reporting and transfer pricing with a focus on maximising value for our Shareholders. OSTTRA has 30 entities across multiple geographical jurisdictions, with key locations located in UK, US, Sweden, India, Singapore and Malaysia together with several other global locations and as such you should be able to navigate complex, often conflicting, tax landscapes, managing compliance, and contribute to strategic tax planning, particularly within the context of our Shareholder's Investment Strategies. You will be required to oversee the current outsource providers (PWC) as OSTTRA carves its business out from the current TSA relationship with S&P into a new standalone framework. We are looking for someone with a proven track record of working in a changing environment, who has experience of working internationally ideally, (but not essentially) within either PE or a regulated business. The role is based in our London office near Liverpool Street Station, with a minimum 3 days a week in office (although contract does say 5 days). There is no prescribed overseas travel requirement, however candidates must be able to travel as required in the performance of their duties. Key Responsibilities and Experience: • Strategic Tax Planning: Developing and implementing tax strategies that align with the Investor's investment goals. • Compliance and Reporting: Ensuring compliance with all relevant tax laws and regulations, preparing tax returns, and managing audits. • Tax Advisory: Providing tax advice on various business matters, including M&A, restructuring, and operational issues. • Leverage and Debt Structuring: Understanding and managing the tax implications of leverage and debt structures and ensuring compliance with Finance Agreements. • Stakeholder Management: Working closely with the Shareholders, Management, and external advisors to achieve tax objectives. • Team Leadership: Building and managing a tax team, ensuring their development and effective performance. • Commercial Awareness: Understanding the business context and how tax decisions impact the company's financial performance and providing technical guidance on the tax implications of engaging with customers and supply chain partners to the relevant commercial teams. • Adaptability and Change Management: Being comfortable with the dynamic nature of Private Equity and the constant changes in the regulatory tax environment. • Strong Communication and Interpersonal Skills: Effectively communicating complex tax concepts to both technical and non-technical audiences. Specific Context for OSTTRA: • Leveraged Experience: Understanding the tax implications of a leveraged business, including debt structure, interest deductibility, and the resulting impacts on cash flow and marginal tax rates. • Mergers, Acquisitions and Partnerships: Providing tax advice on the structuring of acquisitions and divestitures, including VAT implications and tax planning for integration. • Investment Strategies: Working with the CFO to develop tax-efficient investment strategies for the Shareholders. • Global Tax Implications: Managing tax risks and opportunities in a global context, particularly in the context of cross-border operations as well as Partnerships and M&A. This is a critical role requiring a combination of technical expertise, strategic thinking, and strong leadership skills to navigate the complexities of our multinational organisation in order to maximise value for OSTTRA and our Shareholders. The ability to adapt and work in a fast-paced, dynamic environment as we undergo a period of significant change will require flexibility and adaptability.
