I have been exclusively instructed by a listed financial services group in their hiring of an Assistant Company Secretary, supporting the delivery of first-class corporate governance across the organisation. Reporting to the Deputy Company Secretary, you’ll play a key role in board and committee operations, subsidiary governance, plc governance and share scheme administration. Key Responsibilities: Act as Secretary to several Board and Committee meetings, including agenda planning, paper coordination (via Diligent) and minute-taking Take ownership of the management of the Group’s subsidiary legal entities Maintain key registers including Conflicts of Interest, Insider Lists and Share Ownership Support the AGM and Annual Report process Provide governance input into group-wide projects, including restructuring Assist in administering employee and discretionary share schemes About You: Several years company secretarial experience Working knowledge of Companies Act 2006, subsidiary governance and legal entity management CGI qualified or working towards qualification Strong communication, organisational and stakeholder management skills Willing to attend the office once a week This is a high-visibility role offering exposure to senior leadership, listed company processes and regulatory frameworks.
