Robert Half is delighted to be partnering with a well-established and values-driven organisation to appoint a Company Secretary. This is a pivotal role, offering the opportunity to work closely with the Board and senior leadership team to ensure high standards of governance, compliance, and decision-making.
The Role
As Company Secretary, you will take full ownership of corporate governance and statutory responsibilities. Acting as a trusted advisor to the Board and Committees, you will play a key role in promoting transparency, ethical conduct, and effective oversight across the organisation.
Key Responsibilities
Governance & Board Support
* Coordinate Board and Committee meetings, including preparation of agendas, papers, and minutes
* Ensure accurate record-keeping and maintenance of statutory registers
* Advise senior stakeholders on governance best practice and obligations
* Support Board and Committee effectiveness, including inductions and ongoing development
Compliance & Regulatory Oversight
* Ensure adherence to relevant legislation and regulatory requirements
* Oversee statutory filings and reporting obligations
* Monitor regulatory developments and implement necessary changes
* Maintain processes relating to conflicts of interest and ethical standards
Corporate Governance & Risk
* Develop and maintain governance frameworks, policies, and procedures
* Support effective decision-making at Board level
* Facilitate communication between leadership and governance forums
* Coordinate audit and compliance activities
Stakeholder Engagement
* Act as a key contact for external advisors and regulatory bodies
* Support internal awareness of governance and compliance standards
* Assist with stakeholder communications where required
About You
* Qualified Company Secretary (e.g., CGI/ICSA) or equivalent professional qualification
* Significant experience in a Company Secretary or senior governance role within a regulated environment
* Strong knowledge of corporate governance frameworks and regulatory compliance
* Excellent communication skills with the ability to influence at Board level
* Highly organised with strong attention to detail and sound judgement
