As a Senior Consultant in the UK EGC team, you will advise and support a diverse client portfolio of listed PLCs, playing a key role in their governance and compliance activities.
Your responsibilities will include supporting listed PLC and IPO client engagements, attending meetings, preparing and filing regulatory and statutory documentation, providing corporate transactional support, and gaining experience in listed PLC governance and IPO processes. You will also support special projects such as corporate actions.
Key Responsibilities
* Support delivery of listed PLC and IPO client engagements.
* Advise clients on governance, compliance, and transaction matters.
* Develop market insights, technical knowledge, and service delivery tools.
* Mentor junior team members.
* Attend industry events and support business growth initiatives.
* Ensure compliance with Listing Rules, DTRs, Market Abuse Regulations, and other legal requirements.
* Organize shareholder meetings and prepare related documentation.
* File statutory and regulatory submissions (Companies House, FCA, NSM).
* Manage regulatory announcements and disclosures.
* Advise clients on corporate governance best practices.
* Draft disclosures for annual and half-year reports, manage filings, and oversee corporate registers.
* Maintain insider lists and manage sensitive information.
* Coordinate board evaluations and monitor director interests and conflicts.
* Liaise with third-party advisors.
What You Will Bring
* Strong company secretarial knowledge and corporate governance experience.
* Willingness to learn and work independently or as part of a team.
* Experience in a professional services environment is beneficial but not essential.
* Excellent communication, organizational, and project management skills.
* Awareness of legal, regulatory, and governance trends.
* Attention to detail, ability to meet deadlines.
* Proficiency in MS Office and legal entity management technology.
* Qualified or pursuing CGI qualification.
