Legal Counsel and Deputy Company Secretary 3-6 month contract
Our client is a UK-based independent adviser platform and wealth management business that supports financial advisers with flexible investment, custody, and administration services for managing client portfolios.
Responsibilities
* Contract Review & Negotiation: Draft, review, and negotiate a wide range of commercial agreements including supplier contracts, SaaS licences, NDAs, and fund manager agreements.
* Legal Advisory: Provide expert legal advice on matters including intellectual property, commercial property, anti‑bribery, and employment law.
* Governance Support: Prepare and manage board and committee documentation, including agendas, minutes, and governance maps; ensure compliance with Companies Act 2006.
* Corporate Activity Assistance: Support corporate transactions, including debt refinancing and other strategic legal initiatives.
* Litigation & Complaints Handling: Assist with litigation matters and support resolution of customer complaints in collaboration with Client Services.
* Data Protection: Provide support to ensure Data Protection compliance.
* Statutory Record Maintenance: Maintain statutory registers and filings, ensuring timely and accurate submissions.
* Stakeholder Engagement: Liaise with board members and senior stakeholders to ensure alignment with legal and regulatory obligations.
* Legal Research & Reporting: Conduct legal research and present updates to senior management and regulatory committees.
