Role and Responsibilities:
Execution of M&A Strategy
* Assessing the competitive landscape, identifying new M&A opportunities, and managing from origination through to transaction and supporting integration – in line with the CAVU objectives and key results (OKR’s)
* Developing a deal pipeline by conducting industry research and cultivating relationships with external advisors (e.g. consulting firms, external lawyers, accountancy firms)
* Responsibility for Acquisition business case development and recommendations
* Managing key stakeholder relationships with the CGO, VP Growth and the Executive Committee as appropriate and wider Finance and Legal function
* Reviewing/understanding/validating target specific KPIs
* Building and conducting financial modelling, forecasts, and valuation analysis appraising viability/ROI
* Prepare Board Papers co-ordinating input from SMEs including synergies across capex/opex/revenue to inform investment case.
* Conduct post investment appraisals, with Finance Team support, to ensure business case benefits are realised and learnings captured.
Governance
* Provide oversight through the establishment and leadership of PMO for transactions
* Key contact and relationship management of Vendor and sell side Advisors
* Accountability for weekly Programme Board and fortnightly Exco Steerco’s including setting agenda and writing slides/reports collating inputs/progress updates from Workstream Owners
* Maintenance of project plan and timetable
* Creation and ownership of Risk Registers
* Managing information request list status and negotiating completion of requests
* Maintain appropriate centralised and secure documentation, ensure smooth post contract handover
* Support and deliver in line with ESG initiatives
Due Diligence oversight
* Reviewing DD reports and creation of action plans driving through to owners and close out
* Own and write DD Executive Summary
* Capture action and timelines for early synergy opportunities with business owners
* Establish a Business Continuity plan to address key business risks
Shaping post-acquisition plan
* Own and prepare overarching project Integration Plan capturing actioned required for first: 7/30/100 days and 12 months including resource requirements and reporting mechanism
* Define detailed integration roadmap highlighting key milestones, required activities and accountabilities to ensure successful benefits realisation
* Prepare stakeholders for the start of the Integration Plan
* Set up reporting templates and project tracking for post-acquisition including business case benefit realisation and lessons learnt
* Establish basis for format and frequency of earn out period reporting and oversight
* Work with SME Workstream leads to develop and deliver integration plan
About You:
* Bachelor's degree in Finance, Business, or related field; MBA / M&A qualification favourable.
* Substantial M&A strategy and transaction advisory experience, preferably in the travel or digital sectors
* Solid knowledge of the M&A external trends and best practice
* Proven experience of developing business cases with a good working understanding of valuation modelling
* Leading end-to-end delivery of transaction activity through to implementation and integration
* Sound business acumen and judgment in areas of risk and uncertainty
* Excellent communication skills – with experience of communication up to and including Executive Committees or similar
* Highly numerate with strong analytical, negotiation and communication skills
* Comfortable working in a fast-paced environment
* Strong stakeholder management, listening, and influencing skills
