Role overview:

Fantastic newly created opportunity for a Company Secretary to lead a dedicated team responsible for the effective operation of the Board cycle and Executive Risk Committee framework. The role reports to the Group Company Secretary of a leading banking group.

In this position, you will play a key role in ensuring compliance with PRA and FCA regulatory requirements while promoting the highest standards of corporate governance across the organisation.

The ideal candidate will have a strong passion for corporate governance, a proactive approach to continuous improvement, and the ability to thrive in a dynamic, fast-paced environment.

Key Responsibilities

* Leading and developing a high-performing corporate governance team.
* Working closely with the Company Secretary and Governance function to provide high-quality company secretariat support to the Board.
* Direct lead for the Bank’s Board Risk Committee, including agenda planning, coordinating and reviewing board papers, preparing high-quality minutes, and maintaining effective information flows with senior management.
* Supporting annual effectiveness reviews of the Board and executive-level risk committees, helping drive continuous improvement in governance practices.
* Monitoring and advising on corporate governance developments, regulatory changes, and emerging industry best practices.
* Contributing to the preparation of the Group Annual Report and Accounts from a banking entity perspective.

Qualifications & Experience required

* Qualified Chartered Secretary (or equivalent professional qualification).
* Minimum of five years’ relevant experience in a senior corporate governance or company secretariat role.
* Experience working within a regulated environment is essential.
* Strong knowledge of UK corporate governance standards, company law, and regulatory frameworks.
* Proven experience engaging with board members and senior executives in a strategic governance capacity, including designing and enhancing governance processes aligned to organisational strategy and operating models.
* Demonstrated leadership capability, with experience building, developing and managing governance teams.
* Excellent minute-taking skills, with the ability to produce clear, accurate and concise minutes within tight timeframes while reflecting multiple stakeholder perspectives.
* Exceptional communication and stakeholder management skills.
* Experience working in fast-paced or high-growth environments.
* Strong organisational skills, with the ability to manage multiple priorities and deadlines effectively.
* High attention to detail.
* Sound judgement and discretion when handling sensitive and confidential information.
