The Role
The Legal Counsel will play a central role in supporting international expansion, ensuring compliance with complex cross-border regulations, and partnering with senior stakeholders on strategic business initiatives.
Key responsibilities include:
* Advising on international market entry, acquisitions, and strategic partnerships within fintech, payments, and SaaS.
* Ensuring compliance with UK, US, and global financial regulations (e.g. FCA, FCPA, SOX, AML, GDPR).
* Drafting and negotiating commercial agreements, including SaaS, payment processing, and vendor contracts.
* Supporting M&A and acquisition integration, including due diligence and post-deal implementation.
* Advising on corporate governance, licensing, and structuring across international markets.
* Collaborating with product, compliance, finance, and tax teams to manage risk and enable growth.
* Managing intellectual property, ethical governance, and regulatory reporting.
* Monitoring legal and regulatory developments relevant to fintech, payments, and SaaS.
About You
* UK-qualified solicitor (or equivalent) with 6–8+ years’ PQE, ideally gained within fintech, payments, or SaaS sectors.
* Strong understanding of UK and cross-border financial regulatory frameworks.
* Proven experience supporting international expansion, M&A, and complex commercial transactions.
* Excellent drafting, negotiation, and stakeholder management skills.
* Commercially astute, pragmatic, and comfortable balancing legal risk with business objectives.
* Collaborative and adaptable, with the ability to work effectively across cultures and jurisdictions.
