We are currently looking fora Senior Company Secretarial Officertojoin ourglobal company secretarial team.

You will be confident communicating with various global stakeholders in a fast paced environment andwill welcome the challenge of developing process improvements and time efficiencies.
Key Responsibilities
1. Provide guidance and support to the Senior Company Secretarial & Insurance Manager in relation to ensuring statutory compliance for the various UK and overseas subsidiaries in the Group.
2. Preparation of shareholder resolutions, solvency statements, or any other Board authorisations and the co-ordination of Board approval.
3. Maintain up to date and accurate share registers for the Group’s Parent and Subsidiary companies.
4. Lead on statutory filings, partnering with external service providers where required.
5. Support the administration of share schemes and reconciliation of shareholder loans.
6. Support corporate Group transactions.
7. Support training and development of junior team member
8. Collaborate with global sales and finance teams on a daily basis to collate and submit KYC information as required by clients, banks, regulatory bodies and vendors.
9. Engage with various global finance and operational teams to co-ordinate data gathering for our Group insurance annual renewal process and the day to day management of the global insurance portfolio.
10. Provide the lead on insurance cost planning
11. Handle company and insurance claim processes.
12. Support the insurance needs of our Conference team.
13. Support employees globally with travel insurance planning and queries.
14. Maintain accurate filing of group insurance policies and supporting documents.
15. Work with global finance teams to ensure the timely payment of group and subsidiary insurance company secretarial invoices.
16. Lead the Company secretarial and insurance year end processes
17. Improve processes and procedures to achieve time efficiencies
18. Support the Senior Company Secretarial & Insurance Manager with ad-hoc projects as required.
Skills and Experience
19. Educated to degree level
20. Part or fully Qualified with CGI (Chartered Governance Institute) or equivalent
21. Previous company secretarial experience essential
22. Experience of supporting an annual insurance renewal process
23. Excellent communicator who brings a positive and helpful approach and can develop and maintain effective working relationships at all levels within the organization
24. A pro-active and highly organized individual
25. High level of accuracy and excellent attention to detail
26. Good analytical, numerical and data presentation skills
27. Excellent time management skills, able to prioritise tasks within a fast paced environment and work to tight deadlines.
28. Works well with external parties as necessary as part of a global team.
29. Working knowledge of Word and Excel, and excellent Mail merge skills.
30. Experience of Oracle NetSuite and NetLoan desirable.
31. Experience of working with Diligent and Ledgy desirable
