Legal Counsel (Corporate/M&A) – 2+ PQE – In-House - Hybrid 2-3 days in the office - Birmingham
We are delighted to be exclusively recruiting for our client - a rare opportunity for a talented corporate lawyer (2+ PQE) to join the in-house legal team of a leading, multi-billion-pound turnover private company. Operating across multiple sectors and employing over 25,000 people, this is a dynamic, fast-moving environment where your expertise will have real commercial impact.
The Role
You will work closely with the highly regarded and experienced General Counsel, supporting on acquisitions, disposals, and other key corporate transactions. This is a hands-on role, offering genuine involvement from the early stages of deals through to completion, and an opportunity to develop your commercial exposure beyond pure corporate work into more general commercial matters alongside deal work.
Key responsibilities include:
* Managing external counsel on larger transactions (typically >£5m) and handling smaller deals internally.
* Advising on Heads of Terms, offer letters, and due diligence.
* Reviewing, marking-up, and negotiating SPAs and other transaction documents.
* Supporting on supplier and procurement contracts where required - expanding your general commercial e
* Collaborating with commercial teams across the business.
About You
* 2+ years’ post-qualification experience, ideally gained in corporate/M&A within private practice or in-house.
* Strong drafting, negotiation, and project-management skills.
* Comfortable working closely with senior stakeholders in a fast-paced environment.
