RAC is recruiting for a Company Secretarial Assistant to join our Legal function. Reporting directly to the Company Secretary, this role will support the delivery of core company secretarial services and help maintain high governance standards through accurate records, good organisation, and strong administrative support.
This opportunity is ideal for someone with solid administrative experience who is interested in building a career in company secretarial work. You might be working in a legal or professional services setting or already supporting a company secretariat team. It would also suit a paralegal interested in transitioning into company secretarial work and thriving in a fast-paced, dynamic environment. We welcome applicants who are part-qualified (via the CGI) or eager to study towards the qualification.
We offer full support to the right candidate, including funding and study time to complete the CGI’s qualifying programme if required.
This is a hybrid role, working 2 days a week from our Bradley Stoke office and 3 days from home, offering flexibility while being part of a supportive team.
What you will do
* General Administration: Provide day-to-day admin support to the secretariat function. This includes managing the company secretariat mailbox, tracking deadlines, preparing documents, coordinating signatures, filing records, and updating registers.
* Statutory Compliance and Record Maintenance: Assist with maintaining accurate corporate and statutory records, such as member registers, share registers, director or officer appointments/resignations, and annual returns, ensuring compliance with deadlines.
* Governance Support: Help coordinate internal governance processes for group entities, in line with the Companies Act 2006, the Wates Principles of Governance, and best practices.
* Corporate Transactions Support: Support the team with admin and documentation for corporate transactions, including equity transactions.
* Stakeholder Liaison: Work closely with senior colleagues and stakeholders to coordinate meeting agendas, papers, and updates for various sub-committees.
* Governance Projects: Support ad hoc governance projects to improve standards across the Group, including content updates, conflicts of interest reviews, and process improvements.
* Year-End Process Support: Assist with the year-end process for subsidiary entities, including preparing and approving year-end accounts and Annual Report content.
What you will need
* Knowledge and experience of company secretarial procedures
* Awareness of UK Companies Act
* Knowledge and experience of professional bodies’ roles
* Strong attention to detail and ability to build positive relationships
* Experience using MS Office suite
* Ambitious and eager to succeed
* Knowledge of Diligent or similar software (desired)
* Minute-taking experience (desired)
* High degree of personal autonomy and professional integrity
