About the Role

As the Group Head of Legal and Co Sec you will be responsible for providing clear and practical legal advice to the business and its leaders. You will manage the legal affairs for the entities within the Group and its commercial law compliance. You will be responsible for ensuring the Group complies with governance and legal requirements, and maintaining its high standards of corporate governance through the delivery of comprehensive company secretarial support to a number of boards and board committees.


Key Responsibilities

* Provide timely and practical legal advice to assist the business in achieving its strategic objectives
* Review and provide advice to the business on matters concerning applicable contracts, legal implications of company policies and procedures, and on strategic projects
* Handle potential and actual disputes, in coordination with internal and external resources
* Instruct and liaise with external counsel where engaged
* Ensure senior management are appraised of relevant legal issues, including new legislation which may have an impact on the group’s activities
* Identify and assess potential legal risks and issues, and ensure senior management are briefed accordingly
* Draft, review, negotiate and conclude a broad range of commercial contracts and documentation for business transactions
* Ensure contractual terms provide compliance with relevant regulations and legislation, and give full consideration to commercial factors
* Ensure compliance with all statutory, legal, and policy requirements arising from the group’s activities
* Work with other departments and key stakeholders across the business to oversee and ensure legal compliance across the business
* Deliver strategic corporate governance to ensure the group is able to maintain its high standards of corporate governance
* Review the overall governance and policy framework for the group ensuring it is fit for purpose and provides clearly accountable decision making and oversight
* Maintain accurate documentation of corporate governance activities and processes, including board and committee terms of reference, governance maps, statement of responsibilities and filings
* Establish and ensure the effective delivery of company secretariat services for the Boards and its Committees so the company is able to comply with its financial and legal requirements.

You will, from time to time, be required to undertake other activities that fall within your capabilities as directed by management.


About You

You must be an individual who is a strategic and critical thinker with a high degree of discretion and professionalism. You should have experience within a regulated business that has gone through significant growth. You will have the capacity to assess complex legal matters and exercise sound judgement. You will be a trusted, authoritative adviser, who is dynamic and decisive, and visible as a leader.

You are expected to have excellent stakeholder management skills are required, as is the ability to negotiate, persuade, and influence, based on trust. You will also be a proven people leader who has a track record of team development. A qualified lawyer with significant experience and expertise at a senior level is essential.


Essential

* Be a UK qualified lawyer with experience either in private practice or in house
* Previous experience of the financial services industry including familiarity with FCA handbook, COBS, Treating Customers Fairly and SYSC requirements
* Have wide ranging commercial contracts experience
* Be able to build relationships, influence and negotiate with senior stakeholders across the business
* Have the motivation and ability to apply good commercial sense and follow company procedures at all times
* Be confident to continually deliver and improve excellence for clients and customers
* Have exceptional organizational and analytical skills
* Have strong communication and interpersonal skills
