Role Purpose
The Board Secretary for the Executive Board is accountable for the effective and efficient running of the Executive Board meetings and broader engagements, ensuring appropriate alignment with required governance, decision making and strategy execution requirements.
This role reports to the Chief of Staff and supports the facilitation of the smooth running of the Executive Board discussions such that the Exec Directors are able to dedicate their time to effective discussion and decision making. Support across the Office of the Board to ensure a coherent and collaborative team aligned to the Executive Directors’ collective needs.
Responsibilities
1. Annual board cycle management, including meetings, agendas and other engagements.
2. Taking minutes and tracking actions for EB.
3. Board pack production and circulation, ensuring the relevant prioritisation occurs and is aligned with broader discussions required by the organisation and AGL Board.
4. Holds the EB members and their relevant teams to account to deliver the requisite papers and materials for discussion on time and to the quality required to ensure effective and efficient meetings.
5. Manages the discussions required prior to EB to ensure timely decision making at meetings.
6. Manages the outputs of EB meetings to ensure that they are progressed as agreed.
Key Experience
7. Experience of supporting main board members, to a high standard.
8. Strong collaboration with peers and ideally CoSec relevant experience.
9. High degree of organisational savvy and astuteness.
Operationalise our vision and strategy
10. Manage EB meeting agendas and relevant engagements, including prerequisite discussions to ensure effective and efficient meeting discussions and decisions.
11. Own the EB annual meeting schedule and ensure alignment with both AGL Board discussions and relevant organisational decision-making and fiscal and strategic cadence.
12. Work closely with CoSec colleagues to ensure consistency of approach and optimised ways of working.
13. Plan and manage the EB cyclical discussion requirements, collaborating closely with EB members and their direct team members where relevant.
14. Work with key contributors to EB to raise the standards and continuously improve the quality of submissions and discussions.
15. Management of agreed projects as required across EB scope.
16. Attend EB meetings to provide hands-on support as required.
Delivering excellence for our clients
17. Work with EB members to ensure the quality of papers brought to EB enable effective and efficient decision making and the execution of the strategy.
18. Support the Chief of Staff to enable EB discussions to be timely and reach adequate conclusions which can be moved into implementation.
19. Hold EB members to account to deliver on outputs and actions from EB discussion.
20. Collaborate with EB members to ensure timely and high-quality input is provided for AGL Board sub-committees (Risk, Audit, Remuneration, Nominations, Ethics, etc.).
Measures of success
21. Feedback from key EB stakeholders.
22. Seamless management of the EB meeting agendas, content, actions and follow-up.
23. Smooth working with AGL Board and Trustees' secretariats.
24. Improved and optimised ways of working which achieve EB effectiveness and efficiency measures.
