Assistant Company Secretary:We have an exciting opportunity for an Assistant Company Secretary to join our dedicated and dynamic team. Within the role you will be a key figure in our company structure, ensuring that Ageas UK is well-governed, compliant and effectively managed whilst supporting the wider Company Secretariat team to execute and deliver our strategy.
The role of Assistant Company Secretary offers varied responsibilities, ranging from general secretariat duties to involvement in the development of corporate projects. At Ageas, our close-knit team structure means you'll have significant exposure to our Senior Leadership Team. This unique opportunity allows you to build strong, key relationships and gain invaluable insights from our Executive team.
Main Responsibilities:
* Support the company to comply with all relevant laws and regulations, including the Companies Act and other applicable legislation. This involves staying updated on legal changes and advising the company accordingly.
* Organisation of board meetings, involving: scheduling, preparing agendas, distributing meeting materials, and ensuring all logistical arrangements are in place.
* Accurately recording the minutes of board and committee meetings, capturing key decisions, discussions, and actions. Following up on action items to ensure they are completed.
* Assisting with the preparation and distribution of board and committee papers, ensuring they are comprehensive and distributed in a timely manner, and in line with our reporting standards.
* Support the senior members of the Company Secretariat team in providing advice to the board and senior management on corporate governance matters, including best practice and compliance with relevant governance codes.
* Assist with regulatory and statutory filings as required.
* Assist with Corporate Projects across the business as required.
Skills and experience:
* Previous experience in a company secretarial role, ideally within the financial services or insurance sector with understanding of working within a heavily regulated environment.
* An interest in the Insurance Industry.
* Preferred previous education to include either legal, accounting, finance degree, or business-related degree.
* Member of Chartered Governance Institute (CGI) or working towards Associate membership (ACG).
* Highly developed and effective communicator both verbally and in writing, exhibiting good questioning and listening skills to interact with board members, stakeholders, and regulatory bodies.
* Ability to build a network across the business, developing and maintaining relationships with all stakeholders at all levels.
* Be comfortable operating as part of a team and on their own.
* Ability to manage multiple tasks efficiently, including scheduling meetings, preparing agendas, and maintaining corporate records, ensuring deadlines are met and tasks appropriately prioritised.
* An understanding of, and ability to interpret English company and insurance law.
* Proficiency in Microsoft Office Suite and ideally be familiar with or interested in learning company secretarial software including Diligent Entities.
* A willingness to keep to date with technological advances, such as AI, to support the streamlining of administrative tasks and increase efficiencies within the Company Secretariate Team and for governance purposes.
