● Review and provide summaries of legal DD reports, identifying risks and providing advice to the business.
● Carry out due diligence and provide DD summaries, including identifying risks and offering advice to the business for transactions without external advisers.
● Draft and negotiate transaction documents for smaller transactions without external advisors.
● Instruct external counsel to prepare transaction documents (APA/SPA) reflecting RI’s position.
● Negotiate transaction documents alongside the M&A team.
● Work closely with and provide guidance to Legal Counsel and M&A teams on the above.
● Provide updates and flag any issues on transactions to the General Counsel - Corporate.
● Provide strategic and structuring advice on transactions as required.
● Instruct and liaise with external counsel.
● Ensure the M&A process is followed throughout the regions.
● Advise on potential claims post-completion.
● Jurisdictions covered: Europe (including UK), Latin America, and Asia.
Roles & Responsibilities (Non M&A):
● Review of IC approval requests.
● Review of facility agreements and guarantees on an ad hoc basis as required by the Treasury Team.
● Review of PoAs and other corporate governance documentation as needed.

● Regional Legal Counsels, as applicable.
● Group Head of M&A.
● Europe Head of M&A.
● M&A Managers in Europe, Asia, and Latin America.

● Corporate Secretarial Team.
Requirements:
* M&A experience, covering DD workstream and SPA negotiations.
* Mid-level PQE (minimum three years plus).
* In-house experience preferred.
