We are looking for a proactive Deputy Company Secretary to play a central role in ensuring strong governance across our organisation. This is a fantastic opportunity to work closely with senior leaders, influence decision‑making, and help shape the future of our corporate governance framework.
About the Role
As Deputy Company Secretary, you will support the effective operation of our Board and Committees, ensure statutory and regulatory compliance, and lead the day‑to‑day activities of the Secretariat function. Acting as a trusted advisor, you’ll provide expert governance guidance to Board members, executives, and senior stakeholders. You will also deputise for the Company Secretary, ensuring continuity and high‑quality governance support at all times.
What You’ll Be Doing
Board & Committee Governance
1. Lead the full coordination of Board, Committee and shareholder meetings
2. Prepare high-quality agendas, papers and Board packs
3. Draft clear and accurate minutes and manage action tracking
4. Maintain the annual meeting cycle, planners and calendars
5. Support Board and Committee induction, training and development
Statutory & Regulatory Compliance
6. Maintain statutory registers and ensure accurate corporate filings
7. Prepare and submit documents to Companies House
8. Draft resolutions, minutes and routine governance documentation
9. Support the development and review of governance policies
Entity Management & Secretariat Operations
10. Oversee corporate administration across the group
11. Coordinate approvals for Finance, Tax, Treasury and structural changes
12. Manage entity management systems and corporate records
Stakeholder Management
13. Act as the Secretariat liaison with auditors and corporate functions
14. Build strong relationships with senior leaders and paper authors
15. Provide advice on governance processes and delegated authorities
Governance Advice & Continuous Improvement
16. Monitor legal, regulatory and governance developments
17. Recommend updates to governance practices
18. Drive process improvements and enhance Secretariat efficiency
19. Deputise for the Company Secretary where required
What We’re Looking For
20. Degree in Law, Business, Governance or related discipline is desirable
21. CGI qualification (or working towards qualification) is desirable.
22. Strong knowledge of the UK Companies Act and corporate governance principles
23. Experience providing direct Board/Committee support
24. Skilled in drafting minutes, Board papers and formal governance documents
25. Experience with statutory filings and entity management
26. Familiarity with Board portals (e.g. Diligent, Board Intelligence)
27. Experience working in a Company Secretariat environment
