The Technology, Intellectual Property and Contracts (TIPC) team within the Legal Division is looking for a solicitor to be the EMEA lead within an existing global data and index team tasked with advising, counseling, structuring and negotiating complex market data and index strategies and agreements for the firm. This is a role for a solicitor to join an existing team in London that, as part of its role, supports the firm’s technology, corporate services, strategic sourcing and operations divisions. Inbound and outbound data and intellectual property licensing has become an increasingly important and complex part of the firm’s business. The data and index lawyers within the TIPC team have been developing and enhancing legal support models – around vendor negotiations and internal data use governance – to meet the growing demand for legal support this has driven. This position offers an opportunity to work closely with stakeholders across different businesses and geographies and to interact closely with colleagues throughout the firm’s Legal and Compliance functions on a wide variety of strategically important projects. RESPONSIBILITIES Advise, counsel, structure and review complex strategies and agreements for the firm as it relates to market data and index licensing. Working closely with internal business clients and Legal and Compliance colleagues in identifying, assessing advising on various regulatory questions and inquiries and regarding the structuring, negotiation and execution of complex transactions. Working with the Market Data Licensing team in Engineering to design and implement the firm’s processes for validating and prioritizing the firm’s new data requests, negotiating relevant licenses and advising the firm’s businesses on their rights to use data for different use cases. Potential opportunity to co-lead a team of specialized legal professionals focused on market data and index licensing (depending on candidate). Designing and implementing processes for the education of the firm’s users on data and index usage rights, restrictions and conditions and establishing appropriate governance and risk management around the firm’s use of third party data and indices. Providing advice and counsel on financial services-related technology and general, commercial transactions; software, data and content licensing; data security, data use and privacy issues (including CCPA, GDPR, GLBA and cross-border data privacy issues); hosting, cloud computing and software services agreements; outsourcing agreements, professional services agreements; internet exchanges and marketplaces. Assisting senior leadership of the Legal Division in developing, documenting and implementing contractual protections, processes and policies to effect compliance with the evolving legal and regulatory environment in respect of the firm’s data and index vendor arrangements, and assisting in the development of advocacy positions in respect of the market data and index industry for discussions with vendors, trade associations and regulators. Instructing/working with/manage external counsel and consultants. BASIC QUALIFICATIONS Strong knowledge of technology, outsourcing and intellectual property laws and regulations. Minimum of 7 years’ post qualification experience required in a leading law firm or financial institution. Significant experience in reviewing, advising and negotiating on technology and data contracts. Understanding of vendor engagement processes, preferably on an international basis, helpful but not mandatory. Project management skills to manage a host of initiatives related to data rights, data sourcing and vendor management arrangements. Team player with sound commercial and legal judgment, and strong analytical skills. Strong oral and written communications skills. High level of initiative, integrity, and organization. Comfortable engaging with senior executives across a host of disciplines and businesses.
