Position: Company Secretary
Location: Cambridgeshire (Hybrid working, three days a week office based)
Salary Guide: £90,000 – £130,000 per annum (DOE), plus bonus and benefits
Role Type: Permanent or Fixed Term Contract
Start Date: Ideally ASAP
We are exclusively supporting technology company based in Cambridgeshire region who are seeking to hire an experienced Company Secretary to join their Legal & Compliance function.
Reporting directly to the Group General Counsel, this is a key leadership role responsible for ensuring best in class corporate governance and regulatory compliance, while providing strategic support to the Board and senior management team.
Key Responsibilities
* Manage and coordinate Board and Committee meetings, including preparation of papers, logistics, and minute-taking.
* Advise the Board and Executive Committee on UK Listing Rules, Corporate Governance Code, and Market Abuse Regulation compliance.
* Oversee shareholder engagement, including planning and managing AGMs, proxy voting, and shareholder communications.
* Maintain close liaison with registrars regarding share capital movements and related filings.
* Lead on the governance and remuneration sections of the annual report and manage external auditor relationships.
* Administer employee share plans and oversee Employee Benefit Trust operations.
* Support corporate transactions, including M&A activity, capital raising, and strategic initiatives.
* Oversee group-wide compliance frameworks, including whistleblowing, anti-bribery, and Code of Conduct policies.
About You
* Fellow or Associate of the Chartered Governance Institute UK & Ireland (CGI UK) or equivalent professional qualification.
* Significant experience as a Company Secretary or Deputy Co Sec within a FTSE-listed, PLC or similarly regulated organisation.
* Strong understanding of Companies Act 2006, Listing Rules, DTRs, and the UK Corporate Governance Code.
* Experienced in share plan administration, regulatory filings, and corporate transaction support.
* Excellent communication and stakeholder management skills, with confidence engaging at Board level.
