Are you an experienced Company Secretarial professional ready to step into a high‑impact governance role within a truly global insurance group?
We're looking for a Senior Assistant Company Secretary to join a Global Insurance company in London. You will play a key role in delivering best‑in‑class governance across our UK, European and MENA entities.
Reporting to the Deputy Company Secretary – UK & Europe, you will take ownership of the day‑to‑day governance and secretariat activities for a portfolio of boards and committees while acting as a trusted adviser to senior stakeholders across multiple jurisdictions.
The role requires on‑site presence in London office two days per week
About the Role
In this pivotal position, you'll support the delivery of robust governance frameworks, ensure seamless board and committee operations and drive continuous improvements to governance processes and systems.
Key Responsibilities
Provide full end‑to‑end secretariat support for a defined portfolio of boards and committees, including:
• Preparing, reviewing and distributing board papers
• Managing logistics across UK & European jurisdictions
• Drafting accurate, timely minutes and action logs
Act as governance owner for executive and board‑level committees, ensuring consistent operation within terms of reference and appropriate escalation across governance frameworks.
Support director‑level governance activities, including skills assessments, board evaluations, induction and training.
Collaborate confidently with executive and non‑executive directors, senior leaders and external advisers.
Oversee statutory filings, corporate records and maintenance of legal entity data (e.g., through Diligent Entities).
Mentor junior team members, fostering a high‑performing, inclusive and collaborative team culture.
Assist with corporate transactions and support compliance with regulatory frameworks including Senior Managers & Certification Regime, Solvency II, Data Protection and Financial Crime requirements.
Skills & Experience
We're looking for someone who brings:
Significant experience taking minutes at senior board and committee level
Background in Financial Services, insurance/reinsurance, Lloyd's market or listed environment
Excellent communication and relationship management skills
Confidence and gravitas in dealing with senior stakeholders
Strong organisational and project‑management capability
Strong understanding of subsidiary governance
Experience with Diligent Boards or similar platforms
The Package
Salary: Up to £110,000
Bonus: 15% annual performance bonus
