Signature Recruitment is working with our client, a well-established organisation, to find an experienced Governance Manager. This is an interim opportunity where you'll step into a well-organised role with established systems, processes, and quarterly planners - you just need to pick up the reins. As Governance Manager, you'll manage quarterly board meetings and audit committee meetings in a well-structured environment. You'll need to feel confident managing complex regulatory frameworks independently while influencing and persuading colleagues with a can-do attitude. The ability to work with some ambiguity and exercise sound judgement is essential. Governance Manager Key Responsibilities: Be the gatekeeper for all regulatory and statutory requirements including FCA, Companies House, ICO, Regulator for Social Housing, and Building Safety Regulator filings et al. Manage quarterly board meetings and audit committee meetings - from agenda setting to minute-taking and follow up actions Handle all company secretarial duties: maintaining registers, organising deed signings, corporate filings and board member appointments/removals Work with technical specialists across the business to ensure regulatory standards and returns are up-to-date and completed on time Prepare comprehensive board packs, liaising with facilities team for meeting logistics and ensuring board member expenses are processed promptly Use established systems including SharePoint, Teams, Excel and a board platform to manage confidential board materials Maintain regulatory registers, assets and liabilities registers, and ensure all statutory requirements are met Handle project work including subsidiary rule revisions and standing order updates following board decisions Exercise sound judgement on grey areas while knowing when to escalate or collaborate on complex decisions Governance Manager Key Skills: Substantial company secretarial or board support experience in regulated sectors (housing associations, charities, or other quasi-public sector organisations preferred) ICSA qualification or Corporate Governance Institute qualification (or demonstrable company secretarial experience) Strong understanding of regulatory frameworks and the rigours of working in highly regulated environments Excellent influencing and persuasion skills - able to "sell corporate administration with a smile" and get buy-in from colleagues High attention to detail with excellent planning, scheduling and coordination abilities Proficient with Microsoft Office suite (Excel, Word, PowerPoint) and comfortable adopting new digital platforms Structured and organised approach with ability to work autonomously while knowing when to escalate Comfortable working with ambiguity and exercising sound judgement in grey areas Strong integrity and collaborative working style with excellent stakeholder management skills This Governance Manager interim role offers the chance to step into a well-established position with all infrastructure, systems, and processes already in place - including quarterly planners and process notes for most tasks.
