Job Summary
The Risk and Governance Officer will work closely with the Chief of Staff and the Head of Board Governance to ensure the Trust’s Corporate Affairs are undertaken to the highest standards of probity and in accordance with statutory and legislative requirements. The role includes supporting the Head of Board Governance to provide senior secretarial and administrative support to the Trust Board and its committees, servicing and minuting meetings, deputising in their absence, and supporting the Head of Risk Management with Trust risk processes. The officer will also support the Board Secretariat team in various governance processes and projects, including maintaining disclosures of interests, fit and proper person records and the register of Corporate policies.
Main Duties of the job
* Provide a high‑quality, timely service utilising Microsoft Office packages for minutes, agendas, correspondence, reports, emails, presentations, project plans and spreadsheets.
* Sit for long periods in a restricted position while taking minutes at meetings.
* Maintain prolonged concentration during minute transcription while meeting required deadlines.
* Manage interruptions and conflicting priorities without compromising deadlines.
* Occasional exposure to distressing or emotional circumstances such as staff performance issues, dissatisfied patients/clients and complaints.
* Monitor key information sources (websites, journals) to stay abreast of NHS developments relevant to the post.
* Keep up‑to‑date by attending relevant conferences and local network meetings, in agreement with the Trust Board Governance Manager.

Job Description
Key Responsibilities
* Provide high‑level administrative support to the Head of Board Governance and the Trust Board and Committees; service meetings, take and transcribe minutes to a high standard, and prepare agendas and papers.
* Monitor progress against Committee action logs through liaison with Executive Directors and advise the Committee Chair of any outstanding issues.
* Resolve agenda issues using independent judgement and make necessary revisions.
* Support the Head of Board Governance in ensuring Board and Committee efficiency and effectiveness, accurate minute‑keeping, and appropriate support for Directors and Non‑Executive Directors.
* Plan Committee Agendas in negotiation with Non‑Executive Chairs and Executive Leads.
* Deliver corporate governance arrangements of statutory committees and maintain disclosure of statutory registers and documents.
* Coordinate and minute Trust Management Executive meetings chaired by the Chief Executive, liaising on agenda items with senior staff across the Trust.
* Arrange the annual schedule of Board and Committee meetings.
* Draft correspondence and other documents, ensuring accuracy, spelling and grammar.
* Work autonomously, prioritise workload and refer to the Head of Board Governance when necessary.
* Review Board Members’ mandatory training records and liaise with members whose training is due to expire to ensure compliance.
* Support the Head of Board Governance with ordering items necessary for smooth governance processes, as required.
Risk Management
* Work alongside the Head of Risk Management to maintain a comprehensive, effective and regularly updated risk management function.
* Promote the benefits of strong governance, enhance staff knowledge of governance, risk processes and regulatory requirements.
* Ensure risks are identified, escalated and reported through appropriate governance structures.
Person Specification
Essential
* Educated to degree level or equivalent experience.
* Further training and experience to a postgraduate diploma level or equivalent.
* ICSA qualification (desirable).
* Capable of working under pressure using own initiative, flexible and self‑motivated.
* Team worker with excellent interpersonal skills, outgoing and resourceful.
* Self‑confident, tactful and diplomatic, calm under pressure but assertive when required.
* High degree of personal integrity and probity, good political awareness.
* Ability to communicate effectively at all levels (e‑mail, telephone, face‑to‑face).
* Knowledge of corporate governance legislation and best practice.
* Understanding of effective systems and processes for organisational risk management.
* Ability to deal with confidential and sensitive issues with tact.
* Attention to detail and ability to see tasks through to completion.
* Advanced and accurate keyboard and formatting skills for reports, spreadsheets and correspondence.
* Ability to work flexibly to meet departmental needs, including early starts and late finishes.

* High standard of written presentation; excellent communication, negotiation and persuasive skills.
