Ladwa Recruitment are working in an exclusive partnership with a highly reputable and thriving financial services organisation, to hire a Company Secretary. The Company Secretary plays a pivotal role in ensuring the organisation continues to operate with the highest standards of governance, transparency and ethical integrity.
We are seeking a bold, forward-thinking and detail orientated Company Secretary to act as a trusted advisor to the Board and senior leadership, to ensure the company complies with statutory and regulatory requirements in promoting best practise in corporate governance. Through effective decision making and confident stakeholder management, the successful candidate will provide strategic guidance to the Board in supporting the company’s purpose driven mission.
Key Responsibilities:
* Management and oversight of the governance meeting cycle and associated processes for Board, Committees, and Executive meetings.
* Provide professional advice to the Chair, other Directors, Executives and colleagues on corporate governance issues.
* Work with the CFO and CIO to contribute to the preparation and filing of the Annual Report and Accounts.
* Organise the Annual General Meeting.
* Oversee the Fitness and Propriety process for all Non-Executive and Executive Directors under SMCR.
* Liaise with the CRO, and CPO to ensure regular review of the organisation’s SMCR approach, including, horizon scanning to ensure any regulatory changes are assessed and implemented into the organisation’s SMCR cycle.
* Ownership of all applications relating to Senior Management Functions and Controlled Functions.
* Ownership of FCA Controllers returns and Companies House filing.
* Lead the development of and monitor the effective implementation of policies and procedures for the induction, training and professional development of the firm’s governing body (PRG).
* Provide Company Secretarial oversight of all shares‑related matters, including maintenance of the share register, share dealing governance, insider lists, dividend arrangements, and ensuring appropriate governance, compliance, and Board support for employee share schemes.
* Oversight and management of the Board’s Power of Attorney framework, ensuring proper governance, documentation, and compliance with legal and regulatory requirements.
Requirements and Qualifications:
The Company Secretary role is defined as a certified role under SMCR.
* Fellow or Associate of the Chartered Governance Institute, a qualified lawyer with governance experience, or an equivalent professional experience.
* Essential experience in financial services or a heavily regulated industry.
* Experience managing or leading staff .
* Proven experience supporting boards, with a focus on engagement with non-executive directors.
* Experience drafting clear, accurate board and committee minutes.
* A track record of delivering high-quality work within structured timelines.
* Experience managing priorities to meet business and governance expectations
