YOUR IMPACT
This role is for a qualified or part-qualified Chartered Company Secretary working within the Goldman Sachs (GS) EMEA Corporate Governance Team (CGT). The CGT is part of the GS Legal Division, comprising professionals based in London, Birmingham, Frankfurt, and The Hague. It oversees the corporate administration of all Goldman Sachs EMEA entities, including approximately 80 UK-based entities and several overseas entities, such as three regulated UK companies and one Irish-regulated company, managing their Boards and Board committees.
This position offers an opportunity to gain in-depth experience in corporate duties and governance. The successful candidate will join a small, professional team, liaising with colleagues across various levels and areas of the firm. As Goldman Sachs expands its Birmingham presence, you will be part of a growing, highly-skilled legal team in a world-class workplace focused on collaboration, productivity, and sustainability, having moved to Birmingham in September 2024.
RESPONSIBILITIES
* Providing company secretarial services to GS entities in EMEA, including assisting with documentation, attending, and minuting board/committee meetings for regulated entities.
* Liaising with divisions such as Risk, Compliance, Controllers, and the Executive Office to ensure smooth board and committee operations.
* Advising on and assisting with corporate transactions like director changes, accounts approvals, capital transactions, and establishing or closing entities.
* Maintaining accurate entity records, processing key filings with Companies House, managing officer changes, PSC register, and constitutional changes.
* Ensuring data integrity on in-house databases and assisting in validating entity and director information.
* Responding to requests for management information and reports related to GS entities and committees, including KYC inquiries, transaction completion, and audits.
* Providing secretary’s certificates, delegated signing authorities, and advising on powers of attorney and document execution.
* Identifying and implementing emerging corporate governance developments.
* Maintaining contact with senior members and relevant groups internally and externally, including counsel and notaries.
* Contributing to process improvements, collaboration, and the development of policies and systems within the CGT.
SKILLS / EXPERIENCE
* Qualified / Part Qualified Chartered Secretary (ACIS or FCIS)
* Experience in preparing, attending, and minuting board and committee meetings, including agenda setting and board pack preparation.
* Entity management experience, managing multiple entities, and handling all aspects of company secretarial practice.
* Practical knowledge of Diligent (Blueprint and BoardBooks), e-filing at Companies House, and online resources.
* Excellent organizational skills and attention to detail.
* Ability to work independently, manage deadlines, and perform under pressure.
* Strong interpersonal and communication skills, team-oriented attitude.
* Enthusiasm, flexibility, proactive approach, and interest in company secretarial matters and GS's business.
* Experience in financial services is advantageous but not essential if gained in other sectors.
