Contract Details
* Contract Length: 12 months (potential to extend)
* Location: London Paddington (Hybrid – 2 days per week onsite)
Key Responsibilities
* Support corporate governance for the Group, including insider list maintenance, stock exchange announcements, and EDGAR filings.
* Draft sections of the Annual Report and assist in delivering the AGM.
* Ensure compliance with UK and US listing obligations.
* Prepare board and committee papers for the Group Board and Nominations & Governance Committee.
* Maintain director and executive shareholding records and coordinate bi-annual declarations.
* Manage governance systems (Blueprint, Diligent) and maintain the Group’s legal structure chart.
* Support subsidiary board meetings, filings, and ad hoc corporate projects (e.g., restructurings, acquisitions).
Key Requirements
* Company secretarial experience in a UK-listed PLC (international and complex group structure preferred).
* CGI-qualified (UK) with strong technical knowledge of UK corporate governance.
* Experience with governance systems such as Blueprint and Diligent.
* Familiarity with UK and US listing requirements (US experience desirable but not essential).
* Strong written and verbal communication skills, with the ability to engage senior stakeholders.
* Detail-oriented with excellent organisational and project management skills.
* Proactive team player with a collaborative mindset.
