As Assistant Company Secretary, you’ll play a key role in delivering a high‑quality, proactive company secretarial service to the Board and its Committees, working closely with the Director of Governance and contributing to strong corporate governance across the organisation.
Responsibilities
* Provide proactive, high-quality, practical, business-focused company secretarial support to all aspects of the Secretariat team’s activities.
* Develop Board and Committee agenda plans and coordinate the production and circulation of Board and Committee papers in accordance with agreed timelines.
* Support the Director of Governance with the Annual Report process, including preparation of the governance section and supporting other key year‑end stakeholders.
* Administer the corporate calendar, collate and prepare information for interim and annual results.
* Provide support to the Director of Governance on corporate transactions where required.
* Maintain statutory books and records and undertake all required Companies House filings accurately and promptly for the Group companies.
* Manage ad‑hoc projects as necessary under guidance of the Director of Governance.
Qualifications
* Qualified Company Secretary (GradCG or ACIS), or legally qualified with requisite experience.
* Several years post‑qualification experience, ideally within a regulated and/or listed company environment.
* Confident in engaging with senior management, the Chair and other Board members.
* Strong written and verbal communication skills and attention to detail with proven ability to develop good working relationships at all levels within an organisation.
* Experienced at minuting board and committee meetings, preparing and following up on actions.
* Good organisational skills with the ability to multitask efficiently and effectively.
* Understanding of the Market Abuse Regulation, Companies Act 2006 and UK Corporate Governance Code.
* A focus on delivery of a high‑quality and effective, pragmatic, solutions‑oriented service.
* Ability to handle issues sensitively and confidentially.
* Ability to work calmly under pressure and at pace.
