Role Purpose

The Legal and Compliance Manager is a senior-level position responsible for the Group’s compliance with all relevant legal and regulatory requirements for the UK, EU and US operations, and reports directly to the CFO.

This includes providing strategic legal advice, managing legal risks, and overseeing compliance programmes to safeguard the Group’s reputation and operational integrity. This role is pivotal in ensuring the Group operates in accordance with all the regulatory requirements held under its FCA and AFM licenses.

Key Responsibilities

Legal Advisory and Risk Management:

Provide expert legal advice on a range of issues, including commercial contracts, employment law, intellectual property, and corporate governance.

Identify and manage legal risks, ensuring proactive measures are taken to mitigate these risks.

Draft, review, and negotiate contracts and other legal documents.

Oversee and manage external legal support when required and represent the company in legal proceedings as necessary.

Compliance Management (2nd line):

Develop, implement, and maintain an effective compliance programme to ensure adherence to all relevant laws and regulations (FCA and AFM (Dutch Regulator). Conduct regular compliance audits and assessments, identifying areas for improvement and ensuring corrective actions are implemented.

Ensure compliance with data protection laws, including GDPR, and manage data privacy issues.

Policy Development and Implementation:

Develop and implement company policies and procedures to ensure legal and regulatory compliance.

Conduct training programmes to educate employees on legal and compliance matters.

Monitor changes in legislation and regulatory requirements, ensuring the company adapts accordingly (horizon scanning).

Corporate Governance:

Assist in the development and implementation of corporate governance practices.

Ensure compliance with statutory requirements and corporate governance standards.

Chair the Risk Committee Prepare and review board materials. Ensure accurate recording of corporate activity (books and records, Companies House)

Reporting and Communication:

Report to senior management and the board on compliance issues, legal risks, and any relevant legal developments. Maintain effective communication channels with regulatory bodies and industry associations.

Team Leadership and Development:

Lead, mentor, and develop the legal and compliance team (currently a team of 2)

Foster a culture of continuous improvement and professional development within the department.

Ensure effective communication and collaboration within the team and with other departments.

Actively demonstrate Acquis values

Stakeholder Management:

Act as a key point of contact for legal and compliance matters with internal and external stakeholders. Lead a truly business-partnering legal and compliance function.

Personal Requirements/Skills – Qualifications

· Qualified legal or compliance professional (or equivalent)

· Proven track record in managing legal risks and compliance programmes.

· Strong knowledge of UK legal and regulatory requirements.

· Experience of Risk Management Frameworks

· Excellent drafting, negotiation, and communication skills.

· Ability to provide strategic legal and business advice.

· Strong analytical and problem-solving skills.

· High level of integrity and professional ethics.

· Strong leadership and management skills.

· Ability to work independently and as part of a team.

· Detail-orientated with strong organisational skills.

· Proactive and able to manage multiple priorities.
