Our client, a mid-size reputable Asset Manager is looking to hire and Assistant Company Secretary. Reporting to the General Counsel and Company Secretary, the successful candidate will play a pivotal role in shaping and supporting the firm’s corporate governance framework ensuring the company meets its statutory, regulatory and corporate governance obligations. This role combines technical expertise with strong organisational and communication skills to maintain high standards of compliance and governance across the business.
Roles & Responsibilities
* This role will support the General Counsel and Company Secretary and offers exposure to governance challenges, regulatory compliance, Board and Committee members and the senior leadership team making it an ideal platform for a motivated professional to develop and make a real impact.
* Organise and manage Board, Committee and LLP Management Committee and sub-committee meeting cycles: draft agendas, prepare meeting packs, attend certain Committee and sub-committee meetings, draft accurate minutes, follow up on actions and publish meeting materials via governance portal.
* Support the General Counsel and Company Secretary in providing governance advice and best practices to the Board, Committees, LLP Management Committees and senior executives ensuring the firm’s compliance with the UK Corporate Governance Code and regulatory requirements.
* Maintain statutory registers and records across the Group.
* Prepare and submit statutory filings to Companies House, including confirmation statements, director appointments/resignations, special resolutions and share cancellation forms (SH03 and SH06)
* Assist with the production of the Annual Report, including drafting of the governance sections, ensuring compliance with UK Corporate Governance Code, Listing Rules and disclosure requirements.
* Support the planning and execution of the Annual General Meeting, including shareholder communications and proxy management.
Background & Experience
* 3 to 5 years’ experience working within the Financial Services sector.
* Exposure to working within a UK listed company environment would be benefocia.
* Fully qualified or part qualification with suitable experience (The Chartered Governance Institute (CGI) (formerly ICSA), demonstrating strong technical knowledge of company law and governance best practice.
* Strong understanding of corporate governance principles along with FCA and Listing Rules.
* Ability to manage multiple priorities under pressure and deliver to tight deadlines.
* Regulatory Environment - awareness of UK and international regulatory frameworks such as FCA and Listing Rules, plus familiarity with compliance obligations under the UK Corporate Governance Code.
* Knowledge of stock exchange rules, disclosure obligations, insider dealing regulations and market announcements.
* Corporate Governance - awareness of evolving governance practices, ESG and stewardship reporting requirements, and shareholder engagement trends.
