Company Secretary (Subsidiary Governance) – 12 Month FTC
Base pay range: £95,000 + 12.5% Bonus | London (Hybrid, Flexible)
Are you an experienced governance professional with a passion for international corporate transactions and subsidiary management? Lorien is partnering with a leading global insurer to recruit a Senior Corporate Governance Manager/Company Secretary (Subsidiary Governance) for a newly created 12-month fixed-term contract. This is a rare opportunity to shape and embed best-in-class governance standards across a diverse international portfolio.
The Opportunity
Hybrid & Flexible: London-based, with the option to work remotely most of the week. Occasional office presence required to engage with UK stakeholders.
International Scope: Collaborate with colleagues and stakeholders around the world with a focus on “Rest of World” outside of UK, Europe, MENA & US.
Impactful Role: Play a key part in unifying and strengthening governance processes for subsidiaries outside the US, supporting occasional strategic projects and largely business-as-usual (BAU) activities.
What You’ll Do
* Partner with business leaders and governance experts across multiple jurisdictions to deliver strategic initiatives and manage corporate transactions (e.g., share capital restructuring, M&A, dissolutions, dividends, capital injections).
* Oversee and champion the use of Diligent Entities as the central source of legal entity information—providing training, ensuring data integrity, and supporting global stakeholders.
* Organise and produce subsidiary board meetings: prepare agendas, coordinate logistics, and draft clear, accurate minutes focused on transactional matters.
* Resolve queries from international stakeholders, including company secretaries, treasury, and external providers, ensuring compliance with local legal, AML, and statutory requirements.
* Support the roll-out and adoption of electronic board pack systems (Diligent Boardbooks) across the international network.
* Collaborate with the US-based corporate secretary’s office on governance projects and continuous improvement initiatives.
* Contribute to a culture of integrity, compliance, and best practice, aligned with regulatory requirements and company values.
About You
* Demonstrable experience in subsidiary governance within large, complex organisations—ideally with exposure to financial services or listed environments.
* Strong background in corporate transactions (e.g., share reorganisations, M&A, subsidiary management).
* Advanced user of Diligent Entities (essential) and comfortable training others on governance tools.
* Confident communicator with the ability to influence senior stakeholders and solve complex, ambiguous problems.
* Highly organised, proactive, and able to manage multiple priorities across different time zones.
* Flexible mindset, comfortable with ambiguity and evolving processes.
* Experience minuting board meetings and managing end-to-end governance processes.
