Description Wood is looking for a forward thinking, engaging individual who has the attention to detail and stakeholder management skills to take on the full responsibility for leading the implementation of all aspect of Corporate Governance. The Head of Corporate Governance will report into the Company Secretary, and is a core part of the CoSec leadership team, whilst the roles’ key objectives include: leading the corporate governance programme design, development, implementation and reporting to ensure compliance with the Corporate Governance Code 2024 (“CGC24”) and general governance good practice ensuring the incorporation of findings of the 2024/5 independent review such that the corporate governance programme is an effective vehicle for any remediation flowing from the independent review drive forward subsidiary management and governance programme design, implementation and maintenance, including directors’ duties and guarantees lead and grow the stakeholder relationship building and management, including key relationships with Board directors, senior business leadership, senior functional leadership, CoSec service providers and registries / regulators be the focal point for your team, in providing technical expertise, advice, guidance and direction as relevant in relation to the above, including to senior leadership lead and inspire a small team of CoSec specialists Responsibilities Understand Wood’s corporate governance obligations, including in respect of the CGC24 Lead the design, development and implementation of a global Corporate Governance Programme, including identification and management of key stakeholders, management of the Programme, promulgating a culture of good corporate governance, education of business and functional leadership as to corporate governance, ensuring that the requirements of the CGC 2024 are met and reported appropriately (including at Board level) Understand the outcome of the independent review and work with the review team to ensure that the findings of the independent review are addressed appropriately and are approved by the Board Put CoSec at the heart of subsidiary governance: ensure that CoSec is the source of truth in respect of subsidiary information; design/develop Wood’s global subsidiary management framework to ensure that the information held in CoSec is correct and that there are effective processes for putting/keeping subsidiaries in good standing Design and implement a subsidiary governance programme, including a training programme around directors’ duties, use of guarantees, training and monitoring of licensing (or similar) of subsidiaries, and lead the development of Co Sec business resources (e.g. a Co Sec intranet site with guidance and materials) Manage and develop the subsidiary governance team such that it operates effectively and efficiently, including in relation to upkeep of GEMS (or similar EMS), structure chart generation / usage, general operational queries around subsidiary management Further progress the LER on the back of effective subsidiary governance. Understand LER priorities, look to flex subsidiary governance such that substantive priorities can be met and/or align subsidiary governance and LER priorities Identify and foster key relationships: (a) across senior leadership in order to create and sustain a culture of good corporate governance and understanding of governance risk (b) across relevant ELT and Board members responsible for corporate governance in order that our corporate governance programme is understood (iii) across Group functions that impact and assist Co Sec and corporate governance programme activities and improvement work (e.g. Finance, Treasury, Risk, E&C, Audit) Monitor external developments in relation to new legislation and good practice Deputise for the Co Sec when required due to absence or unavailability Qualifications The candidate should ideally be a qualified lawyer, have contract laws experience, or a chartered company secretary, although consideration may also be given to candidates who can demonstrate at good experience direct corporate governance or project management experience Knowledge, skills and experience: Experience in senior business-focused governance roles within a complex organization Extensive experience in leading and delivering global governance or subsidiary management Extensive working knowledge of global multinational group structures and the delivery of a global governance model Ability to influence and collaborate across a global multinational group Experience of working in co-operation and business partnership across the company Ability to influence and challenge current thinking through clear, informed, and logical argument and discussion Knowledge of strategic commercial and business models, and commercial acumen and credibility Knowledge of how to utilise cross functional resources to deliver strategy Demonstrate a commitment to continuous learning and development, technical excellence Demonstrate innovative strategies and implement long term solutions Ability to communicate, build relationships, trust and rapport with senior leaders Significant experience in establishing and achieving challenging performance targets Strong understanding of change management methodologies required to support large scale organizational change and transformation with a dynamic set of stakeholders Strong networking skills Strong negotiation skills Extensive project management experience, with demonstrated ability to deliver projects to the business and understand the support model required. Experience with functional operating models, key processes, reporting structures, and legal entity structure Personal attributes: Empathetic and energetic team leader and team player who can foster meaningful team relationships Connect and establish effective, cross-cultural working relationships with all levels of the organisation and externally. Ability to generate trust and credibility with audiences through continuous, open and consistent communication Consistently role model the Group’s core values and provide leadership by example to all employees Anticipate the environment, be forward thinking, proportionate and reasonable - able to see the ‘big picture’, work under pressure across multiple workstreams in challenging scenarios, and balance humility and self confidence in carrying out the role Champion and drive innovation and change initiatives, focused on improving quality and effectiveness. Creative and resilient in meeting objectives; does not accept failure easily and can reassess an approach where necessary to achieve the same end goal by a different means Foster a climate that delivers on expectations and strengthens relationships Closing date - June 4th, 2025.
