To provide business focussed professional support to the Group on all legal matters (primarily impacting the UK, Europe and Australia group entities), ensuring the Group’s interests and rights are protected at all times and in adherence with any Group authorisation or equivalent decision-making framework.


The Impact You Will Have in This Role

As part of the Group’s Legal team, provide legal support, advice and guidance to the Group on those matters set out below, and support the Associate General Counsel, and Chief Legal Officer, as and when necessary. The role will also involve liaising with external legal counsel as required in order to achieve the Job Purpose.


What You’ll Be Doing In This Role


Company Secretarial and Corporate Work

* Providing company secretarial support for all companies in the group, including filings at Companies House (e.g. confirmation statements, director changes)
* Assisting local teams with commercial register changes and annual filings across the Group
* Reviewing and drafting changes to articles of association across the Group (with support of local counsel where necessary)
* Reviewing and drafting board and shareholder minutes/resolutions across the Group (including minutes/resolutions approving financial statements), prepared by local counsel where necessary
* Reviewing and drafting intercompany contracts, including Group structure and transfer pricing arrangements for example, management services agreements, IP development services agreements and supporting work orders
* Reviewing and drafting documents relating to intra-group lending including facility agreements, promissory notes, deeds of variation, supporting minutes/resolutions and other ancillary notices, certificates and documents
* Keeping internal records and any internal company registers up to date (for example, conflict of interests registers)
* Managing registered office relationship with third party providers and assisting with changes of registered office providers across the Group
* Maintenance of statutory books as necessary
* Assisting with keeping Group Structure Charts and Directors & Signatories lists up to date


Trade Marks and Intellectual Property

* Advising local teams and the Group on registrability of names as trade marks
* Supporting external counsel with oppositions and results from watch services etc
* Keeping trade mark files and registers up to date
* Enforcing IP rights against third parties, including annual website checks for IP infringement and co‑ordinating Group wide review
* Advising in relation to IP ownership (e.g. vehicle images)
* Updating Group copyright and trademark notices as appropriate
* Reviewing and drafting IP licences


Compliance

* General compliance oversight for the UK, European and Australian operations, to include responsibility for various internal policies and processes (e.g. gifts and entertainment register), undertaking risk assessments as required, delivering internal training, and assisting U.S. counsel with compliance inquiries as necessary.
* Providing guidance and advice regarding ultimate beneficial ownership (UBO) requests from across the Group, and maintaining the internal Group UBO register
* Handling KYC requests from across the Group
* Assisting with insurance related matters including collating information relating to the UK, European and Australian operations as part of JD Power’s insurance renewal process, handling insurance related queries and assisting with any insurance claims on behalf of the Group where appropriate
* Participation in Compliance Committee meetings (including taking minutes of meetings) and assisting with compliance initiatives as required.


Business Regulatory

* Considering and providing authorisation and approvals in accordance with the Group’s authorisation framework as required
* Preparing annual Modern Slavery Statement (including liaising with various key stakeholders)


Other Ad Hoc Work

* Drafting and/or reviewing various agreements requiring legal input (for example, NDAs, deeds of variation, novation agreements, variation and termination agreements, powers of attorney and supplier agreements)
* Providing ad hoc support to Commercial Legal colleagues on contractual matters where necessary
* Reviewing and amending recruitment agent contracts, service agreements and consultancy agreements and providing occasional advice and guidance on employment matters that ariseAssisting with refinancing arrangements, acquisitions and reorganisations as required
* Providing advice and assistance with litigation/disputes (including summarising and presenting relevant factual and legal issues), and drafting cease and desist letters
* In the event of a sales process, providing in‑house legal support, including due diligence
* Keeping the legal repository up to date and in good order
* Responding to ad hoc legal enquiries and undertaking ad hoc legal research tasks (including in relation to pensions and data protection)
* Updating and maintaining the Group legal counsel register
* Reviewing relevant documents and advising on matters relating to premises occupied by the Group, and instructing local counsel where necessary


Qualifications Of This Role

* Juris Doctor (JD) from an accredited law school and qualified solicitor in good standing in a common law jurisdiction, with 4+ years PQE, with the ability to advise within or adapt to UK legal and regulatory frameworks.
* Background in commercial, corporate, and/or compliance law.
* Working knowledge of regulatory frameworks in Europe, including competition law, and other aspects of UK/EU compliance.
* Proven ability to deliver commercially pragmatic, risk-balanced advice to senior leadership while supporting operational, brand, regulatory, and strategic objectives.
* Effective communicator with strong drafting skills, able to explain complex concepts clearly to non‑legal stakeholders.
* Strong organizational skills with a proactive attitude and ability to manage and prioritize a wide portfolio of responsibilities.

This position has a starting salary range of £75,000 to £80,000 per year. This is the range we reasonably and in good faith expect to pay for the role at the time of posting. An employee’s pay within the range is determined by a number of factors, including relevant skills, education, qualifications, experience, performance, business or organizational needs, and geographic location.
