We are seeking a confident and experienced Corporate Solicitor with 5+ years PQE to join our dynamic team and contribute to our ambitious growth plans.
Role Overview:
As a Corporate Solicitor, you will play a pivotal role in advising our expanding client base on a wide range of corporate matters, including mergers and acquisitions, shareholder agreements, company restructurings, and general corporate advisory work. Based in our Dudley office, you will have significant opportunities for career progression and involvement in shaping the strategic development of our corporate team.
Key Responsibilities:
* Advise SMEs, owner-managed businesses, and high-net-worth individuals on corporate transactions, including mergers, acquisitions, and disposals.
* Draft, negotiate, and review shareholder agreements, partnership agreements, and joint venture documentation.
* Provide legal support for company restructurings, including share buybacks, capital reductions, and group reorganisations.
* Offer general corporate advisory services, such as corporate governance, compliance, and director duties.
* Conduct due diligence and manage transaction processes, ensuring seamless execution of deals.
* Build and maintain strong client relationships, contributing to business development initiatives to grow the firm’s corporate practice.
* Collaborate with other departments (e.g., commercial litigation, property) to deliver integrated solutions for clients.
* Mentor junior team members and play a key role in the strategic development of the corporate team.
Requirements:
* Qualified solicitor in England and Wales with 5+ years PQE in corporate law, gained at a reputable law firm.
* Strong experience in M&A, shareholder agreements, company restructurings, and corporate advisory work, with a focus on SMEs and owner-managed businesses.
* Confident and proactive approach, with excellent client-handling and communication skills to build trusted relationships.
* Proven ability to manage complex transactions independently and meet tight deadlines.
* Commercial acumen and enthusiasm for business development to support the growth of the Dudley office.
* Knowledge of corporate governance and regulatory compliance (e.g., Companies Act, FCA regulations) is essential.
* Experience working with high-net-worth individuals or private clients is advantageous.
* Commitment to office-based working at our Dudley location, with flexibility to engage in client meetings across the West Midlands.
